Zoom is seeking a Senior Commercial Counsel to join our award-winning, dynamic legal team. This role focuses on public-sector transactions and technology-related deals. It's a great opportunity for an attorney who thrives in fast-paced, collaborative settings and enjoys navigating complex regulations, supporting innovation, and driving strategic deals. The main responsibility is to review, draft, advise on, and negotiate complex technology contracts with both commercial and government customers. The role also includes providing general commercial legal support and working closely with cross-functional teams. This position reports to the Senior Commercial Counsel (Manager).

Responsibilities
- Reviewing, drafting, and negotiating enterprise and public-sector SaaS master subscription agreements, master services agreements, and data processing addenda. Prepare and negotiate partner and channel agreements, business associate agreements, and professional services agreements. Handle statements of work, service schedules, support and service level terms, vendor agreements, and other related legal documents.
- Providing legal support to the public sector organization (Federal & SLED) and Commercial Legal Team with respect to public-sector regulations, certifications, attestations, and forms.
- Ensuring that all contracts are consistent with internal corporate policies, revenue recognition requirements, processes, and risk tolerances.
- Leading assigned strategic and cross-functional projects in support of the Commercial Legal Team to achieve legal and business objectives.
- Working cross-functionally to draft terms for new products and services.
- Assisting with the creation of contract templates, playbooks, guides, and policies.
- Being a trusted advisor and business partner across the company by assisting and advising the business and internal constituents on assigned projects and contracts.
- Providing legal support related to solicitation requests (for example, RFPs, RFQs, and RFIs) and associated flowdown terms and conditions.
What we're looking for
- 12+ years combined experience (which may be a combination of law firm and in-house legal department experience).
- Possess a Law Degree from an accredited institution, and have an active license to practice law in one of the 50 U.S. states.
- Have substantial experience negotiating and drafting complex enterprise and public-sector contracts. As well as, have vast experience with public-sector procurement regulations, including FAR/DFARS, applicable to a commercial SaaS company.,
- Have experience reviewing RFPs and drafting and negotiating prime contract government flowdown addendums with channel partners. Also have experience with GSA Schedule 70 and various U.S. SLED and Federal contract vehicles (e.g., NY OGS, CA SLP, NASPO, NASA SEWP, Texas DIR, etc.).
- Have experience supporting SaaS or cloud organizations and related revenue recognition concepts and issues.
- Have experience with state, federal, and international data privacy and security laws and related contract provisions. Proven track record of identifying, creating, and implementing contract process improvements.
- Have experience with artificial intelligence concepts, contract provisions, and counseling.
- Have the ability to manage multiple clients' demands and projects with shifting priorities in a fast-paced and dynamic environment. Also be highly responsive with a service-oriented attitude with the ability to give succinct, commercially-driven legal advice.
Salary Range or On Target Earnings:
Minimum:
$124 000,00
Maximum:
$271 200,00
In addition to the base salary and/or OTE listed Zoom has a Total Direct Compensation philosophy that takes into consideration; base salary, bonus and equity value.
Note: Starting pay will be based on a number of factors and commensurate with qualifications & experience.
We also have a location based compensation structure; there may be a different range for candidates in this and other locations
