About the Team:
This role will be a critical part of the Corporate Affairs team within UKG Legal. Corporate Affairs provides advice and support for the corporate infrastructure and the operation of the UKG organization, which includes support in corporate governance, entity management, equity compliance and M&A.
About the Role:
We are seeking an experienced paralegal to support our legal team in SEC compliance, entity management, and subsidiary governance. The ideal candidate will have a strong background in Section 16 filings and experience managing entities, ideally including in EMEA and Asia.
We are looking for a self-motivated Paralegal who is prepared to work autonomously and own certain subject areas within the legal organization. This person should be very detail-oriented and have strong organizational skills. Additionally, this person should be comfortable:
- Assisting in preparing and filing Section 16 reports (Forms 3, 4, and 5) with the SEC.
- Supporting the Corporate Affairs team in maintaining compliance with SEC regulations.
- Managing corporate governance and entity management for subsidiaries.
- Assisting with corporate filings, including entity formations, annual reports, qualifications, dissolutions, DBA filings, name change amendments, and other related matters.
- Maintaining and updating corporate records, ensuring accuracy and compliance with local laws.
- Collaborating with cross-functional teams to support corporate transactions and other legal matters.
- Conducting legal research and providing support on various compliance and governance issues.
About You:
Basic Qualifications:
- Minimum of 5 years of experience in a paralegal role, with a focus on SEC compliance and corporate governance.
- Proven experience with Section 16 filings.
- Prior successful experience working in the legal department of a public company.
- Proficiency in legal research tools and Microsoft Office Suite.
- Ability to multitask and manage competing priorities in a deadline-driven environment
Preferred Qualifications:
- Experience managing entities in EMEA and Asia.
- Exceptional communication, research, and organizational skills.
- Comfort interfacing with business leaders throughout the organization.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.

The pay range for this position is $99,800 to $143,450, however, base pay offered may vary depending on skills, experience, job-related knowledge and location. This position is also eligible for a short-term incentive and a long-term incentive as part of total compensation.
