Who we are looking for

Reporting to the Head of Business Controls Office and Board Office, the Senior Associate is expected to be detail oriented and provide assistance in planning and preparing for meetings such as the Shareholder's meeting, Board of Directors meetings (BoD), Audit and Supervisory Committee (ASC), Executive Committee (EC), Risk & Compliance Committee (RCC) and Deal Team (DT) for SSTB and Branch Management Committee (BMC) for SSBT. In addition, it is expected that the Senior Associate maintains accurate records of these meetings and organizes materials for statutory/regulatory. The Senior Associate will also support various business risk management initiatives and legal entity controls for SSTB.

Other competencies includes excellent English and Japanese written and oral communication skills and the ability to build relationships with different businesses in the company..

What you will be responsible for

  • Gather and prepare meeting material for Shareholders', Board, Branch and other committee meeting (such as Executive Committee, Risk & Compliance Committee, Deal Team) following each meeting's schedule. Follow up on the status of action items post meetings.
  • Assist the Corporate Secretary in coordinating meeting logistics, i.e., send invitations and reminders to meeting participants, book and prepare meeting rooms, coordinate meeting participants' schedule and etc.
  • Attend meetings and ensure minutes are accurately recorded in English and Japanese and promptly distributed
  • Create the final version of the Board and ASC's minutes and obtain necessary signature/Hanko-stamp from directors
  • Maintain the company's information registered with the Company Registrars up to date by filing/reporting any changes required by laws and regulations
  • Organize and maintain SSTB and Branch's policies, rules, procedures, shareholder/board/committees minutes and other governance materials
  • Implementation of procedures through global standard
  • Provide regular reporting on incidents and issues
  • Risk assessment program
  • Ensure that all anti-money laundering requirements are satisfied and uploaded to the database
  • Review new funds for Volcker implications and update the Volcker database
  • Business Impact Analysis for local regulation changes
  • Audit finding / remediation
  • Monitor oversight of outsourcing arrangement
  • Maintenance of the Conflict of Interest register
  • Self-testing
  • Any of the reporting items from the above

Education & Preferred Qualifications

  • Bachelor's degree or equivalent or relevant market experience (minimum 3 years)
  • Company Secretarial and/or corporate legal experience is a plus
  • Ability to communicate fluently, verbally and in writing, in Japanese and English
