Corporate Development Senior Manager

Job Description:

The Corporate Development Senior Manager is leading the execution of the various Corporate Development opportunities (acquisitions, divestments, joint ventures and/or other inorganic opportunities), partnering with the appropriate business unit to guide an acquisition or divestment through an established process from the genesis of an idea through to its completion or termination. The Corporate Development Senior Manager role has no direct reports. However, the role is critical to lead to the execution of the Corporate Development projects, often involving large team of Mars associates and external resources.

  • Reports to the VP of Corporate Development and will have significant level of interaction with the SVP of Corporate Development and the General Counsel, Corporate Development.
  • Must form strong working relationships with Corporate Development team members
  • Key relationships are both internal and external:
  • - Internal: Segments Leadership teams, Mars Strategy teams and Mars functions (S&F, Treasury, Legal, Digital, etc.)
  • -External: Banks, Financial advisors, Law Firms and other Consultants

What are we looking for?

Experience:

  • Proven expertise in either finance (e.g. prior CFO role), corporate development or M&A roles with large enterprises or other similar firms in size or industry, investment banks, strategy or accounting firms, with a minimum of 8 years of work experience
  • Strong financial acumen and corporate finance knowledge
  • Ideally some knowledge of the M&A environment and of the categories in which Mars operates (CPG and services)
  • International experience preferred
  • MBA preferred

Must have:

  • Strong financial acumen (ability to navigate financial accounts, build valuation models, understand valuation inputs etc.)
  • Strong project management skills plus analytical and financial modelling skills.
  • Strong presentation and communication skills (verbal and written, up down and across the organization including OOP memos and Board presentations)
  • Ideally, some knowledge of common legal agreements, antitrust and tax (especially US) and some knowledge of the M&A environment and of the categories in which Mars operates (CPG and services).

What will be your key responsibilities?

The Corporate Development Senior Manager is leading the execution of Corporate Development projects, with oversight from the Corporate Development VP or Director. The role is responsible for partnering with the appropriate business unit (usually segment President, CFO and segment Strategy team) to guide an acquisition (or divestment) through an established process from the genesis of an idea through to its completion or termination.

On a case by case basis, the Corporate Development Senior Manager may be supported by a Corporate Development Manager when more resources are required for the execution of large or complex projects (e.g. $300m+ acquisitions, structured or disposal transactions).

Specifically, the Corporate Development Senior Manager role will involve and require to:

• Lead the execution of M&A projects with oversight from the Corporate Development VP or Director

• Partner with the appropriate business unit (usually segment President, CFO and segment Strategy team) to guide an acquisition or divestiture through an established process from the genesis of an idea through to its completion or termination

• Understand segment strategies and where external growth can play a role

• Research potential investment opportunities

• Build the business case and financial model (often with the support of investment banks)

• Understand and execute the Corporate Development governance process

• Conduct valuation analyses (often with the support of investment banks)

• Support the senior members of the Corporate Development team in negotiating with external parties

• Formulate deal structure with the support of the Corporate Development VP or Director

• Lead the due diligence process (including the coordination of large teams of internal and external people)

• Day to day management of the transaction and the external professionals

• Manage and deliver project communications to the internal project team, senior leadership and external parties when appropriate

• Manage anti-trust or other regulatory requirements in support of legal experts

• Support initial transition plans in liaison with the Integration Director of Mars, Inc.
