DESCRIPTION:
Duties: Analyze detailed corporate and financial information to develop meaningful insights. Create statistical exhibits and models that analyze comparative financial performance. Build models that illustrate projected financial results and value to companies. Define, guide, and review detailed valuation analysis, including DCF, trading comparables, transaction comparables, and LBO analyses. Define, guide, and review detailed combination and other financial analyses in the context of M&A transactions or pitch situations. Lead due diligence and drafting sessions. Take on select client coverage responsibilities. Proactively generate ideas for clients and exploit trends in industry, product, and competition. Develop strong internal and external networks and effectively leverage firm resources. Prepare and manage the delivery of internal deal memos, engagement letters, and internal processes across deal execution and management. Create an efficient workflow, and translate overall direction into clear roles and responsibilities. Assume responsibility for the various phases of project and transaction execution, new business development, and overall growth of the firm. Develop a strong understanding and knowledge of technology, software, and sub-sectors of the software industry, the companies therein, competitive dynamics, capital market perspectives on the sector. Develop content for strategic meetings with clients regarding M&A or capital market transactions. Interact with Directors at the firm and client management teams on a daily basis to execute transactions and discuss strategic alternatives. Develop marketing materials and participate in delivery of client presentations. Draft private and public marketing materials such as offering memoranda, confidential information memoranda, and SEC legal documents. Provide leadership, mentorship, and supervision to Associates and Analysts. Proactively attract, develop, and retain top talent by participating in undergraduate and graduate recruiting. This position requires up to 30% domestic travel to meet with clients.

QUALIFICATIONS:
Minimum education and experience required: Bachelor's degree in Engineering (any), Business Administration, Finance, or related field of study plus 3 years of experience in the job offered or as Technology Investment Banking, Associate, Analyst, or related occupation.
Skills Required: This position requires 3 years of experience with the following: Financial modeling and analyses pertaining to both U.S. and cross-border Mergers & Acquisitions (M&A) including building detailed financial operating models, 3-statement combination and divestiture models, discounted cash flow valuations, present value of future stock prices, precedent transactions, trading comparables, LBO analyses, intrinsic and market-based value creation analysis, and accretion and dilution analyses; M&A transactions including acquisition and sale of both U.S. and non-U.S. private and public companies; Divestiture of a division, spin-off, Reverse Morris Trusts, and related corporate restructuring; Financial restructuring transactions including representing sellers and buyers in section 363 sales processes under the bankruptcy code; Transactions involving PE funds and both cash and stock consideration; Conducting fairness opinion analyses for clients, including related procedures and drafting proxy disclosures; U.S. or cross-border M&A transactions in an investment bank within several sections; Corporate defense assignments against activist investors; Financial statement analysis and due diligence for buy-side and sell-side M&A transactions including distressed M&A, negotiating with stakeholders including creditors of distressed businesses, and transaction structuring; FactSet for market data and analysis.
Job Location: 560 Mission St, San Francisco, CA 94105. This position requires up to 30% domestic travel to meet with clients.
Full-Time. Salary: $260,000 - $275,000 per year.
