Business Unit Description / Overview:

Activism and Raid Defense have been cornerstones of Goldman Sachs' leading M&A franchise for more than two decades. The Activism and Shareholder Advisory ("ASA") team within M&A is responsible for helping clients stay ahead of and respond to challenges from shareholder activists and hostile raiders. In this capacity, ASA develops and maintains Goldman Sachs' thought leadership on shareholder engagement and corporate governance, particularly in the context of defense. The ASA team works jointly with Classic and product coverage teams to provide strategic advice to our clients on their potential vulnerability to activism or an unsolicited approach, corporate governance issues, live activism defense or hostile situations, and contested M&A situations.

Job Summary & Responsibilities

The Activism & Shareholder Advisory team is looking for an Associate with relevant experience to join the team.

The Activism & Shareholder Advisory team, which is a part of the M&A Group in Investment Banking, advises corporate clients with respect to shareholder activism, hostile activity and related transactions.

In this role, the banker will be required to provide advice to internal teams and external clients regarding preparing for hostile activity, activism, corporate governance and shareholder related issues. The banker also will work on live raid defense and proxy fight defense situations; help clients prepare for potential hostile activity; drive external and internal marketing and targeting initiatives; develop thought pieces on various topics; and work with client teams on execution of transactions. The banker will be expected to lead and manage multiple projects through to execution, and take an active role in developing and training the junior bankers in the team.

Background/strong familiarity with capital markets, M&A and M&A-related shareholder and legal areas, and strong oral and written communication skills will be important. The ideal candidate will be highly motivated, with a strong base of investment banking knowledge and excellent interpersonal and communication skills. In addition, they should be comfortable working on a broad variety of projects at any given time.

Skills and Experience We Are Looking For:

  • Bachelor's Degree and at least 2+ years of experience in investment banking or a related field
  • Outstanding academic record
  • Background or experience in contested M&A, raid defense, equity capital markets, or shareholder-focused areas strongly preferred
  • Exceptional communication skills, both verbal and written
  • Strong analytical skills and ability to manipulate and draw conclusions from data
  • Highly motivated self-starter and intellectually curious
  • Refined leadership and organization skills, able to seamlessly execute across multiple workstreams and stakeholders
  • Must be a collaborative team player
  • Personal integrity, initiative and leadership qualities required
