Eaton's legal organization is seeking a dynamic and passionate Counsel, Mergers & Acquisitions to be based in Beachwood, Ohio.

What you'll do:

PRIMARY FUNCTION:

The Counsel, Mergers & Acquisitions will provide legal advice and services, and training, in support of Eaton's acquisition, divestiture and joint venture, including due diligence, contract drafting and negotiations, transaction closings and integration activities. Manages outside counsel and outside counsel spend.

ESSENTIAL FUNCTIONS:

  • Provides legal advice to our Corporate Development & Planning and other members of the Eaton deal team, and to operations and other senior leaders, regarding acquisitions, divestitures, joint ventures, equity investments and other transactions world-wide.
  • Performs, and assists other corporate functions and operations with, due diligence investigations and reviews of businesses being considered for transactions in order to obtain an understanding of our operations and the risks and opportunities related to the transactions.
  • Provides guidance and training on M&A topics and on managing our joint venture and equity investments.
  • Supports our acquisition, divestiture and joint venture transactions on transaction structuring.
  • Serves as project manager on Eaton's transactions from the legal perspective, including coordination of advice from other legal team members and outside counsel.
  • Manages and supervises outside counsel on Eaton's transactions as and when necessary, including monitoring and forecasting external spend.
  • Drafts the contracts for Eaton's transactions and supports contract negotiations, transaction closings and integration activities. Prepares and supports the preparation of due diligence reports and other transaction report-outs.
  • Develops and institutes standardized processes for Eaton's transactions and post-transaction requirements and for joint venture and equity investment management.
  • Supports and performs, as appropriate, other activities of and services provided by the Eaton legal team and participates in and leads other legal team initiatives, as and when necessary.

Qualifications:

Basic Qualifications:

  • Minimum of 6 years' experience post law degree in mergers and acquisitions transactions work.
  • Bachelors' Degree from an accredited institution and Juris Doctorate (JD) from an accredited institution.
  • Prior experience with M&A and other corporate transactions (including joint ventures and equity investing) and with cash management, tax strategy, transfer pricing and joint venture management strongly preferred.

  • He/she will be an effective communicator, negotiator and problem solver who is proactive, thinks and acts strategically, drives for world-class results, embraces accountability and demonstrates managerial courage, strong interpersonal skills and professional presence.
  • The successful candidate must be available for travel estimated at 5 % annually, which may include international travel.

The expected annual salary range for this role is $158249.97 - $232099.96 a year. This role is also eligible for a variable incentive program.
