About the team:
The company secretarial team is responsible for providing company secretarial and corporate governance support to the Board of Diageo plc and its committees as well as for all group companies incorporated in GB, Ireland and the Netherlands, as well as legal support to the finance teams including treasury, financial reporting, group control, tax and investor relations. The team is made up of c.13 roles based in London, Dublin, Amsterdam and Budapest.

Role Overview:
Responsible for coordinating annual statutory accounts approval processes for GB entities, involving liaising with financial reporting teams, external auditors and statutory boards, coordinating diaries for review and approval meetings, arranging for filing of documents with Companies House public registry. Also responsible for maintaining, reviewing and updating template company secretarial documents, including email templates, board minutes, resolutions, letters of support, etc.
Role Responsibilities:
- Scheduling timetable for statutory entity financial statements review, approval and filing within applicable regulatory requirements.
- Coordinating diaries of senior executives who are statutory directors along with external auditors and internal statutory reporting teams to ensure timely review and approval of financial statements for all GB group companies.
- Drafting of company secretarial documents relating to approval of financial statements - e.g. board minutes and resolutions, letters of support, etc.
- Arranging for signature of financial statements and filing with UK Companies House within statutory time limits.
- Filing director changes (appointment & resignation) and confirmation statements with U Companies House.
- Review the UK financial statements including the related undertakings list and the directors' report in accordance with UK law, regulation, and Diageo in-house style.
- Assisting the team with other aspects of group year end reporting cycle as necessary.
Experience / skills required:
- Must be highly organised while remaining agile to deal with late requests and changes to timelines.
- Excellent relationship-builder and able to coordinate with senior stakeholders, other functions and external auditors.
- Ability to meet tight deadlines in sometimes pressured situations.
- Understanding of the importance of financial, legal and corporate governance principles and requirements.
- Able to drive / project manage excellent execution.
