Location: Toronto ON Canada (Hybrid)
In this position, you'll be based in the Toronto ON Canada office for a minimum of three days a week, with the flexibility to work from home for some of your working week. We work directly with a wide variety of corporate management, including chief executive officers, chief financial officers, general counsel, corporate secretaries, IROs and professional corporate advisors, such as M&A lawyers, investment bankers, PR, IR and benefit plan consultants. We also offer companies a comprehensive suite of corporate actions solutions including tender offers, Dutch Auctions, Election offers, Exchange offers, Rights Offerings, Stock and Cash Mergers.
A role you will love
The Corporate Actions - Project Manager Operations is primarily responsible for handling the deals our clients undertake. This involves strategic planning of processes and resources to ensure the deal is completed within prescribed deadlines, and so that all client expectations are met. As well, the Project Manager must ensure that all controls are in place to ensure our exposure to risk, liability and losses is effectively controlled.
- Manage the deals assigned to ensure we are complying with policy, procedures, regulations, our agreements, etc., to ensure 100% compliance.
- Set up adequate controls to ensure our exposure to risk liabilities and losses is effectively controlled.
- Strategic planning to ensure adequate staffing and resources are available for all deals and projects handled by the incumbent.
- Must ensure that all deposits are validated, processed, balanced & audited to the systems by expiry of the deal
- Report all valid tenders and deficit items to the client, their legal counsel and their dealer manager with 100% accuracy by the deadlines agreed to.
- Manage client concerns and complaints as well as claims from shareholders to ensure our reputation is maintained and each is dealt with in a fair manner.
- Perform more complex specialized work requiring specialized knowledge of the business and area.
- Must be able to use mathematical, financial or statistical concepts to analyze and interpret more complex information.
- Ensure all changes to the share capital are properly recorded balanced and that entitlements are distributed within prescribed deadlines following all policy procedures and guidelines with 100% accuracy.
- Ensure that all revenues and expenses associated with each deal are reported to billing by deadlines provided.
- Resolve discrepancies, deficiencies or related project issues, with team leader and / or managers input.
- The position has responsibility for providing quality service that is based on a full understanding of the client's requests. It is important to meet those needs with timely as well as accurate advice or service.
- Overtime is a major part of the job. Based on client and regulatory requirements, extended work hours are a normal part of the job.
- Although the job has little or no ongoing business retention and development responsibilities, there is a requirement to perform in a manner that recognizes opportunities for business retention and development.

What will you bring to the role?
As you've probably gathered by now, we are looking for someone with a real passion for client-facing work; a proven ability to understand client needs and address those needs.
- College or University degree preferred.
- Canadian Securities Course, and/or Trust Institute courses.
- 2-3 years progressive stock transfer experience
- Proven project management skills
- Must be able to read text requiring understanding and interpretation of contents in items such as instructions, procedure manuals, agreements, documents or correspondence.
- Must be able to communicate advanced levels of information with considerable need for both written and verbal explanation or description and with precise language to avoid misunderstanding of the complex information.
- Detail oriented with exceptional analytical and problem-solving skills.
- Team player and able to adapt to changing priorities
- Proficient with Microsoft Office suite, especially Excel, Word and Outlook
