Senior Counsel, Corporate & M&A

Zendesk Legal is looking for an experienced Senior Counsel to join its growing world-class legal team and support the M&A function alongside the Integrations Management Office. You will have the opportunity to make a lasting impact on an active strategic transactions program at a high-growth private equity backed company.

This role reports to the Director, Corporate and Securities, who leads governance, securities, and strategic transactions for the company. The position is remote eligible, with stronger preference for those located in the San Francisco Bay Area.

Responsibilities (what you get to do every day):

  • Manage our strategic transaction processes from intake to integrations.
  • Act as a key point of contact for Legal matters for the Integrations Management Office.
  • Build an effective team with the Integrations Management Office to drive successful integrations alongside business stakeholders to unlock synergies.
  • Advise business leaders on legal risks and propose business oriented solutions.
  • Lead and coordinate multiple business teams (both within Legal and across other business functions) on key corporate and legal decisions, including those related to subsidiary management, commercial contract transition, and employment.
  • Support pre-closing transaction duties, including negotiations, diligence, and review of documents and issues.
  • Lead integration project management efforts on behalf of the Legal team.
  • Assist the Corporate Legal team on various other corporate matters, including entity management, corporate governance and securities regulations.
  • Own other special projects/processes as necessary and/or desired.

Minimum Qualifications

  • 7+ years corporate and M&A experience at a law firm and/or in-house legal department (or ideally a mix of both)
  • Juris Doctor degree from an accredited law school
  • US state bar active member in good standing
  • Ability to stay organized and detail-oriented while juggling competing priorities
  • Excellent judgment and decision-making capabilities in complex situations
  • Strong business acumen and ability to distill legal advice into actionable guidance for business partners
  • Demonstrated experience with maintaining a single, reliable source of truth for corporate records
  • A collaborative, upbeat work ethic where you can take ownership and have fun
  • Ability to interact effectively with individuals at all organizational levels, including executives and senior management
  • Ability to uphold the highest standards of discretion and confidentiality
  • Appreciation of the impact of a highly satisfied, excited team and enjoyment of working across multiple time zones and cultures
  • Natural curiosity, technical savvy, and a real passion for working in a customer focused company where business, technology and law intersect
  • Holds the mentality that no task is too big or too small and a willingness to work together towards solutions with integrity, diplomacy, and tact
  • Excellent decision-making skills with a knack for identifying, prioritizing, and articulating the highest impact initiatives
  • Thrives in environments that require methodical problem solving and decision making to resolve ambiguity.
  • Has strong communication skills that can convey critical information to a variety of different audiences.

The US annualized base salary range for this position is $180,000.00-$270,000.00. This position may also be eligible for bonus, benefits, or related incentives. While this range reflects the minimum and maximum value for new hire salaries for the position across all US locations, the offer for the successful candidate for this position will be based on job related capabilities, applicable experience, and other factors such as work location. Please note that the compensation details listed in US role postings reflect the base salary only (or OTE for commissions based roles), and do not include bonus, benefits, or related incentives.
