Job Role - Overview

We are seeking a talented, experienced senior attorney (Director level) to join the EUC Legal Team. The successful candidate will be a key member of the team, supervising all global Commercial Legal Team members, as well as outside counsel as needed. This person will provide guidance to the worldwide Commercial Legal Team members, to ensure that all agreements are drafted and negotiated in accordance with company policies and legal requirements. This person will work with colleagues across the EUC Legal Team, and with leadership throughout the rest of the company, to understand key related issues and challenges, as well as stakeholder requirements, that impact the company's agreements, in support of achieving the company's strategic goals and objectives. This will include direct relationships with EUC leadership across the organization, including sales, revenue, and operations.

Responsibilities

• Supervise commercial legal resources for the global EUC Commercial Legal team, which is responsible for drafting, reviewing and negotiating agreements with customers (including but not limited to licensing of entitlements to on-premises software and cloud-hosted services, as well as related consulting and professional services agreements), and agreements with channel partners. For purposes of this role, legal resources could also include outside legal counsel resources as needed, in all geographical regions worldwide.

• As needed to support the team, this role may also be called upon to draft, review, and negotiate various commercial agreements with customers, in coordination with members of the EUC Commercial Legal Team, the EUC Deal Management Team and other internal stakeholders as needed.

• Provide legal advice and support to EUC management, EUC general counsel, the EUC Deal Management and Sales Ops teams with regard to customer requests for modification to EUC standard terms, and deal-related questions, including but not limited to EUC business policies and guidelines.

• As required, provide guidance and support to internal stakeholders on sales contract-related matters, including interpretation of contract terms, addressing customer concerns, and resolution of disputes.

Qualifications

• Juris Doctor (JD) degree from an accredited law school and active license to practice law in any United States jurisdiction, or equivalent for EMEA legal environment.

• Minimum 10 years of experience working as an attorney, managing other attorneys, in the areas of software and cloud services licensing agreements and related professional services agreements, channel agreements, and all related commercial legal issues. In-house experience strongly preferred but not required.

• Excellent drafting and negotiation skills with the ability to communicate complex legal and commercial concepts clearly and concisely. Proficiency with American business English.

• Ability to identify and mitigate legal and business risks and provide practical solutions to complex issues to support EUC corporate strategies.

• Ability to work effectively in a fast-paced environment and manage multiple priorities with attention to detail.

• Collaborative mindset with the ability to work cross-functionally and build strong relationships with internal and external stakeholders.

Location: SF/Bay Area preferred. Open to US.

For US based candidates, the annual pay range (OTE for commissioned roles; Salary for other roles) for this position is: $171,000 - $412,000. The actual offer will be based on the role, location, and individual candidate experience. Bonus, commission, and/or equity may be eligible for this position.
