Assistant Company Secretary

Job Description

The Role

SUSE considers good corporate governance to be of utmost importance, an essential part of SUSE's culture and crucial to SUSE's long-term success. The Company Secretarial function is fundamental to the smooth running and compliant operations of the group and will help ensure and drive strong governance and best practice across all group entities.
The objective of the role is to assist the Chief Legal Office to provide company secretarial, governance, administrative services and subsidiary management for the Group.
He/she must have previous experience in global subsidiary management and
governance. The ideal candidate will be a problem solver, have good communication skills and impeccable attention to detail. He/she must have the ability to multitask, understand the importance of working in a confidential environment, and be able to meet changing deadlines are essential to the position.

Tasks:

● UK and overseas subsidiary governance
○ Providing guidance and advice to internal stakeholders on subsidiary
matters ensuring highest standards of corporate governance and best
practice are maintained
○ Managing the annual compliance cycle of SUSE's subsidiaries in 30+
jurisdictions including reviewing financial statements/accounts approval
documents, holding subsidiary board meetings/AGMs and arranging for
accounts, annual returns and other country specific documents to be filed
○ Maintaining the Subsidiary Compliance Calendar in collaboration with
other internal functions such as Finance and Tax and external company
secretarial providers
○ Assist with the delivery of ad-hoc corporate changes such as board and
registered office changes, delegation of signing authority, provision of KYC
○ Undertake a verification exercise of SUSE's corporate data held on Diligent
and review all corporate books and records to ensure completeness
○ Maintain the subsidiary corporate records including minute books and
registers
○ Maintain SUSE's corporate database on Diligent
○ Maintain the Group Structure Chart
○ Liaise with overseas corporate secretarial providers, notaries, external
accountants and auditors

Skills and Qualifications

● Proven experience gained in the Company Secretarial function of a large,
multinational private group with strong experience in global subsidiary
management
● CGI qualified or working towards CGI qualification
● The candidate will be a good and transparent communicator with an honest and collaborative approach.
● Ability to join the dots and understand the impact of business requests to ensure this is reflected in the advice given and effective delivery of actions
● Experience developing internal processes and filing systems
● Ability to work autonomously but also work under instruction and with a team
● Superb written and verbal communication skills
● Strong time-management skills and multitasking ability
● Proficient in Google suite, global entity management software packages (Diligent or Gems), board meeting management platform, with aptitude to learn new software and systems
● Experience managing budgets and expenses
● Comfortable handling confidential information
