Job Description - ISA Legal Vice President

Position Summary

State Street is a systemically important financial institution that, among other business lines, provides custody, fund administration and related investment services on a global basis to a broad range of institutional clients. We are seeking an experienced attorney to support State Street's Investment Services business in the Americas, with a particular focus on private equity fund servicing. The work will include:

  • Advising business partners on various private equity fund structures and related commercial and legal terms that may impact the provision of services to such clients.
  • Providing legal and regulatory advice to business colleagues to support strategic changes to State Street's business model, including new products, services, and partnerships
  • Drafting, reviewing and negotiating service agreements, disclosures and client communications
  • Analyzing regulatory issues impacting the business and its clients
  • Advising business partners at various levels of the organization in relation to State Street's global operating model, including in respect of governance structures
  • Advising on claims, errors and potential litigation
  • Providing legal advice based on strong critical thinking, problem-solving and technical legal skills
  • Collaborating with business, compliance and legal partners to find solutions to challenging regulatory, contractual and operational issues

Position Requirements

The ideal candidate will possess the following qualifications and skills:

  • Juris Doctor from an accredited United States law school
  • License to practice in Massachusetts or another state of the United States
  • Significant (4+ years) experience in the corporate department of a major law firm
  • Additional inhouse experience at an asset management or investment services firm a plus
  • Practice experience with investment funds generally, including regulatory and corporate aspects of investment fund formation and operation, organizational and disclosure documents, fund governance, service structures (investment management, sales/distribution, custody, fund administration, accounting, transfer agency/investor services, performance analytics) and related contractual arrangements
  • Knowledge of private equity fund structures, including limited partnership agreements, investor allocations, distribution waterfalls, partnership accounting and tax issues
  • Experience with Business Development Companies and Private Credit Funds a plus
  • Strong critical thinking, problem-solving and technical legal analysis skills
  • Excellent communication skills, both written and verbal
  • Demonstrated ability to build positive working relationships with legal colleagues and senior executives, including the ability to appropriately challenge and offer an alternative point of view
  • Ability to communicate and interact effectively across multiple levels and functional areas within a large organization
  • The ability to work in a varied and dynamic environment supporting global operations across time zones

Salary Range:
$110,000 - $185,000 Annual

The range quoted above applies to the role in the primary location specified. If the candidate would ultimately work outside of the primary location above, the applicable range could differ.
