Job Summary:

As a Contract Attorney on our team, you will serve as an established and productive individual contributor, managing defined components of legal projects or processes within your area of responsibility. You will apply practical knowledge of corporate and financial law to support the company's business operations in the online retail broker industry. You will be responsible for providing legal counsel on a variety of legal matters, analyzing risks, drafting legal documents, and ensuring compliance. You may collaborate with other departments, and occasionally manage smaller projects or initiatives, contributing to the efficiency and effectiveness of the legal function.

Key Responsibilities:

  • Provide strategic commercial and legal advice to internal teams (e.g., sales, client services, product, operations) on a variety of legal and compliance issues.
  • Draft, review, and negotiate a wide range of commercial agreements, including master services agreements, confidentiality agreements, order forms, statements of work, RFPs, client contracts, partnership agreements, and vendor/supplier agreements.
  • Conduct face-to-face negotiations with clients and partners.
  • Advise on and draft privacy-related documentation, such as privacy policies, and data sharing agreements, ensuring compliance with relevant data privacy regulations (e.g., GDPR, CCPA).
  • Monitor and analyze existing and proposed legislation and regulations (e.g., in data privacy, AI, contract, and advertising law) to ensure business compliance and provide sound commercial advice.
  • Develop and deliver training to business teams on contract and compliance matters.
  • Contribute to the development and improvement of internal policies and processes.
  • Identify and assess legal risks and opportunities and proactively manage legal issues relevant to the industry.

  • Strong working knowledge of contract/commercial law and data privacy.
  • Significant experience negotiating commercial contracts with customers and partners.
  • Experience advising cross-functional teams.

  • Outstanding interpersonal skills and the ability to build strong relationships with stakeholders.
  • Ability to explain complex legal concepts clearly to non-legal colleagues and customers.

  • Ability to effectively prioritize and manage quick turnaround times.
  • Sound and practical business judgment and ability to balance legal considerations with business objectives.

Minimum Requirements:

  • US-qualified lawyer with 6+ years of legal experience, including in-house experience.
  • This is a remote opportunity within the US.
  • The position is temporary for a forecasted duration of approximately 7 months.

At the time of posting, Rakuten expects the hourly rate for this role will be between $70-$80/hr. Individual compensation will vary based on job-related factors, including the skills, qualifications, and experience of the successful candidate as well as business need and geographic location.
