The Prudential Insurance Company of America ("Prudential") seeks a private fund and transactional attorney to represent Prudential's Chief Investment Office in connection with its alternative asset investments portfolio. The successful candidate must be able to work independently on complex transactions and will primarily support Prudential's Alternative Assets Group ("AAG") in all phases of "buy side" real estate, hedge fund and private equity investment.
The current EWA for this position is Hybrid and requires your on-site presence as determined by your business. Your manager will provide additional details relative to the specific number of days you are expected to be on-site.

What you can expect:
• Representation of Prudential in reviewing private placement memoranda, conducting due diligence and negotiating limited partnership agreements, side letters, subscription agreements, and applicable consents and amendments.
• Representation of Prudential in reviewing and negotiating co-investments.
• Representation of Prudential in reviewing and negotiating the transfer of limited partnership interests in connection with affiliated transfers and secondary transactions.
• Collaborating with Prudential attorneys on tax, ERISA, insurance company investment restrictions and other related regulatory matters relevant to alternative asset investments; collaborating with Prudential Compliance personnel on relevant compliance matters.
• Providing legal advice to the AAG regarding current legal developments affecting real estate, hedge fund and private equity investment activity.
What you'll need:
• 7+ years of relevant private fund investment law experience and 10+ years of legal practice preferred.
• Law degree required.
• You must be admitted to practice law in New Jersey or another U.S. state. If you do not have a plenary license to practice law in New Jersey, you must apply for a New Jersey In-House Counsel license within 60 days of employment
• Expertise in private funds' regulation by the SEC and CFTC, and relevant transaction documentation is preferred.
• Exceptional analytical, writing and speaking skills, as well as solid organizational and planning skills, are required.
• Strong interpersonal skills and ability to work with various levels of personnel, including senior management.
• Recent experience in a major real estate, hedge or private equity fund or a large law firm is preferred. Attorneys currently employed at financial institutions will be considered.
• Experience with private credit funds is beneficial.
• Experience negotiating derivatives documentation is beneficial.

Prudential is required by state specific laws to include the salary range for this role when hiring a resident in applicable locations. The salary range for this role is from $248,500.00 to $336,200.00. Specific pricing for the role may vary within the above range based on many factors including geographic location, candidate experience, and skills.
