Professionals in the Division assess and actively manage risk, trade derivatives and securities, and structure as well as execute innovative transactions in the fast-paced and constantly changing global markets. The Asia FID Institutional Securities Documentation (ISD) team assists FID in the APAC region with drafting and negotiation of the legal documentation required for clients trading fixed income products with Morgan Stanley.We are currently seeking an experienced documentation negotiator in Hong Kong / Singapore to be a key player in the Asia FID ISD team.Job Responsibilities * Prepare and negotiate ISDA agreements and any related credit support documents (including VM and IM CSAs, counterparty guarantees). * Prepare and negotiate GMRA agreements and any ancillary documentation for repurchase relationships. * Prepare and negotiate other trading documentation including Clear Derivatives Execution Agreement, Electronic Transactions Agreement and any ancillary documentation. * Review and analyze legal documentation to determine capacity and authority to enter into OTC derivatives transactions and repurchase transactions. * Liaise with clients, business units, internal and external legal counsel, risk management and other infrastructure groups within the firm (e.g. Credit, Risk, Operations, Tax etc) throughout the negotiation process, including analyzing and presenting negotiation issues to relevant stakeholders, to ensure a smooth client-onboarding process. * Interact with the Firm's clients in connection with new industry rules and regulations. * Support sales and trading with respect to non-standard transaction documentation. * Actively participate in working group calls. * Actively participate in global team-led or locally-led projects on various initiatives such as IT, risk management, system development and regulatory-driven projects. * Assist in the development of policies, procedures and systems.Requirements * 10+ years' experience with negotiating derivatives documentation, ISDA / VM CSA / IM CSA / GMRA documentation, and/or other relevant contracts in corporate law firm or financial institution. * Advantageous if experience covers negotiation of term sheets in respect of Total Return Swaps ("TRS") or similar product with clients and hedge counterparties. * Holder of law degree and holder of legal qualification in a common law jurisdiction would be a plus. * Excellent oral and written communication skills in English, additional Asian language skills would be advantageous. * Good team player. * Ability to identify and resolve issues and escalate as necessary. * Solid quantitative skills and strong interest in business, economics and law. * Willingness and ability to provide quality service to the Firm's clients and to promote and enhance the Morgan Stanley franchise. * Willingness to work and multi-task in dynamic trading floor environment and the ability to excel under pressure. * Proficiency and interest in technology and systems development. * Organized, pro-active, ability to multi-task and work efficiently, detail-oriented and self-sufficient.WHAT YOU CAN EXPECT FROM MORGAN STANLEY:We are committed to maintaining the first-class service and high standard of excellence that have defined Morgan Stanley for over 89 years.
