Job Summary
As an Associate - Contract Specialist II in the Legal Support Team, you will provide essential legal services to various lines of business and practice group attorneys within the Legal Department. This role offers the opportunity to work on complex agreements, conduct transactional due diligence, and contribute to special projects. You will be a single contributor focused on supporting specific practice groups and/or regions, ensuring the accuracy and integrity of all contractual documents.

Job Responsibilities
- Review, draft, and negotiate non-disclosure agreements, non-reliance letters, and joinder agreements.
- Conduct due diligence on transactional and corporate documents to ensure compliance and mitigate risk.
- Perform legal research and analyze laws, regulations, and requirements relevant to the firm's operations.
- Collaborate with legal, finance, procurement, and business-unit partners to resolve contractual issues.
- Manage competing priorities and large volumes of agreements under tight deadlines.
- Identify and address inconsistencies or gaps in contract terms before execution.
- Maintain high standards of ethics and professionalism in handling confidential information.
- Escalate complex contractual matters appropriately, exercising sound commercial judgment.
- Support delivery of legal functions for specific practice groups and/or regions.
- Participate in special projects and initiatives as assigned by the legal department.
- Ensure all agreements align with business objectives and risk mitigation strategies.

Required Qualifications, Capabilities, and Skills
- Bachelor's degree in Business Administration, Finance, Law, or equivalent; JD, Paralegal Certificate, or Master's in Finance/Law is a plus.
- 2+ years of experience in contract drafting, negotiation, and legal research (preferred).
- Proven ability to draft, review, and redline complex agreements.
- Strong organizational and time management skills; adept at handling multiple priorities.
- Exceptional analytical skills and attention to detail in contract review.
- High integrity and ethical decision-making consistent with firm standards.
- Clear, concise verbal and written communication skills.
- Experience collaborating with cross-functional teams.
- Demonstrated ability to manage confidential information professionally.
- Sound judgment in resolving contractual issues and escalating when necessary.
- Proficiency in balancing business objectives with risk mitigation.
Preferred Qualifications, Capabilities, and Skills
- Advanced degree or certification in law.
- Experience supporting legal functions in a corporate or financial services environment.
- Familiarity with market standards for revision of non-disclosure agreements, joinders and non-reliance letters .
- Track record of successful stakeholder management across multiple business units.
- Experience with contract management systems or legal technology platforms.
- Ability to adapt to changing priorities and work independently.
- Commitment to continuous professional development and learning.
