What you will do:
The Johnson Controls Corporate Development team focuses on identification, evaluation and execution of mergers, acquisitions, joint ventures, minority investments and other strategic transactions to drive our inorganic corporate strategy. We are seeking a dynamic and results-oriented Senior Manager, Corporate Development to lead these transactions. The ideal candidate will have a proven track record in end-to-end execution of merger and acquisition transactions.
How you will do it:
Lead all activities related to Mergers and Acquisitions (M&A) projects. This includes private or public acquisitions, mergers, joint ventures, minority investment, and divestitures of existing business units.
Prepare acquisition case presentation including strategic rationale, detailed business plan, valuation, return metrics, integration into current Johnson Controls portfolio and other relevant acquisition related topics.
Develop detailed financial projections, perform valuation analyses (DCF, public comparables, precedent transactions, LBO etc.) and transaction return analysis; assess synergies and risks.
Lead complex cross-functional due diligence efforts with internal and external teams, including business, finance, legal, product, and operational/functional diligence; identify risks and prepare risk mitigation plans.
Lead the negotiation of key deal terms, ensuring alignment with strategic and financial objectives.
Prepare deal memos and presentations for senior leadership and board discussions.
Support evaluation of JCI’s inorganic growth strategy including competitor and market analysis. Develop M&A plans in support of JCI’s portfolio strategies.
Partner with the integration team to develop integration plans and ensure smooth transitions post-acquisition.
Monitor acquired company performance against deal assumptions and identify areas for optimization.
What we look for:
Required
Bachelor’s degree.
End-to-end M&A execution experience as demonstrated by deal volume.
10 years experience in investment banking, private equity, corporate development or a combination of these.
Strong financial modelling, valuation, Excel, Word and PowerPoint skills.
Excellent executive communication and presentation skills.
Excellent negotiation skills, including ability to quickly build rapport, credibility, and trust at a senior level.
Track record of collaborating on all aspects of M&A deal execution and diligence, including the management of internal and external deal teams.
The preferred candidate will work onsite at our Glendale, WI office but we may consider a remote candidate.
