Job Description

Primary Function of Position:

The Manager, US Contract Administration manages Intuitive’s commercial contracting function in the United States. As the team leader, the Manager is responsible for developing and managing a team of Contract Negotiators, who act as central communicators in the contract lifecycle, liaising with Intuitive’s salesforce and leadership, internal management, 10+ other departments across the organization, and end customers to ensure legal and regulatory compliance and mitigate risk. As a player-coach, the Manager oversees and performs a full spectrum of contracts-related tasks—including legal drafting, negotiating, and ensuring the final processing of commercial contracts—at a high professional level in a high-pressure environment under tight deadlines. The Manager is responsible for maintaining department culture in line with company and leadership values and goals, ensuring operational excellence and developing and mentoring all US Contract Negotiators through team and one-on-one training and yearly performance review activities.

Responsibilities:

  1. US Team Management.  Supervise Intuitive’s US commercial contracting team, with responsibility for Contract Negotiator reports. Act as player-coach to support active negotiations, review and analyze legal escalations, and strategize with sales leadership. Oversee the maintainence and management of contractual information in Intuitive Surgical’s contract administration databases. Periodically review and direct the clean-up of folders and templates.
  2. Personnel and Training. Develop and oversee US Contract Negotiator training to embed contract management best practices in all aspects of departmental activities. Conduct yearly performance and compensation reviews for contract negotiator reports. Actively manage ongoing feedback and performance issues, liaising with Human Resources and leadership as necessary.
  3. Contract Oversight, Drafting, and Negotiation.  Supervise, prepare and negotiate a high-volume and variety of highly complex contracts, including commercial agreements (including sales and leases) for the placement of Intuitive’s products and services, as well as miscellaneous legal agreements connected to Intuitive’s commercial activities. Supervise the preparation, review, and negotiation of digital, data and privacy agreements, along with Business Associate Agreements as required under HIPAA
  4. Legal Analysis and Approval.  Conduct legal analysis and provide guidance and approval on contractual matters, regulatory compliance, government regulations, risk assessment and mitigation, revenue recognition, and other legal issues related to the medical device industry. Represent department as subject matter expert for complex legal/contracting issues and projects as they arise.
  5. Legal Research:  Stay updated on legal and regulatory developments in the medical device industry and provide recommendations and guidance based on industry best practices (including HIPAA) and emerging trends.
  6. Compliance and Ethics:  Uphold and exemplify ethical standards and ensure compliance with all applicable laws, regulations, and company policies in contract negotiations and daily activities

Qualifications

Required Knowledge, Skills, and Experience:

  • Law degree (JD) from an accredited law school or equivalent legal experience preferred.
  • Minimum 4+ years’ combined experience as people manager with emphasis commercial contracts/transactions, or equivalent transferrable skillset from in-house or law firm setting.
  • Willingness to supervise and lead team of attorney-negotiator direct reports.
  • Expert knowledge of standard legal terms and conditions, with understanding of downstream legal implications. Full proficiency—ability to teach and/or supervise with: commercial contracting terms, HIPAA, data security, and/or data privacy regulations.
  • Strong contract oversight, drafting, and negotiation skills with a keen attention to detail, preferably commercial terms and conditions.
  • Strong interest in commercial transactions, financial activities, and business decisions. Readiness and enthusiasm to work hand-in-hand with highly active and energetic/ambitious salesforce.
  • Detail oriented, organized, and able to function in a fast-paced, high-pressure environment. Excellent problem-solving abilities and the capacity to handle complex legal issues in a high-pressure environment.
  • Excellent verbal and written communication skills (including legal drafting skills), and interpersonal skills to lead conversations for special projects/initiatives, collaborate with cross-functional teams and external stakeholders.
  • Proactive problem-solver, self-motivated with a strong work ethic, commitment to excellence, and ability to work independently.  
  • Able to prioritize and manage personnel, multiple projects simultaneously without missing deadlines across multiple time zones.

We provide market-competitive compensation packages, inclusive of base pay, incentives, benefits, and equity. It would not be typical for someone to be hired at the top end of range for the role, as actual pay will be determined based on several factors, including experience, skills, and qualifications. The target salary ranges are listed.
