Job Description Summary

The General Counsel - Enterprise Development Growth and Excellence (EDGE) will serve as the principal legal advisor to EDGE, overseeing a comprehensive suite of legal services and providing strategic guidance to business leaders to drive and achieve organizational objectives. This role demands a proactive approach to risk management, compliance, and legal governance within the context of large-scale, global projects. The single most important responsibility will include managing legal strategy and risk across the lifecycle of large-scale complex infrastructure projects-ranging from project development and contracting to execution, claims, and closeout. This role sits at the intersection of law, engineering, finance, and operations, and is a trusted partner to commercial and project leadership across multiple regions.

Job Description

  • Strategic Partnership: Serve as lead counsel for global counsel exceed $1 billion in value from RFP to delivery. Collaborate extensively with commercial teams and other business functions to facilitate successful bidding on international large-scale projects, while adeptly managing contractual risks.
  • Contract Advisory & Negotiations: Provide expert advice on structuring contracts with Engineering, Procurement, and Construction (EPC) firms and other strategic partners, ensuring both commercial viability and risk mitigation. Draft, negotiate, and oversee complex EPC, OEM supply, construction, and joint venture agreements with global partners, developers, and government entities. Structure contracts to support bankability, compliance, and operational flexibility across multiple jurisdictions.
  • Project Execution Support: Counsel project execution teams on claims management, subcontractor disputes, change orders, and compliance with contract obligations. Lead strategy for dispute resolution, including arbitration and mediation proceedings when necessary.
  • Sourcing Collaboration: Work in conjunction with the sourcing function to navigate complex sourcing arrangements, optimizing contract structures for both commercial success and risk management.
  • Enterprise Risk, Regulatory and Compliance Leadership: Offer authoritative guidance on regulatory issues, compliance matters, environmental law, intellectual property, insurance, and international trade controls, ensuring adherence to applicable laws and standards. Monitor evolving global regulations, sanctions, and local law developments that may impact project execution.
  • Dispute Resolution: Lead efforts in litigation, arbitration, mediation, and other dispute resolution processes, safeguarding the company's interests.
  • Joint Venture Governance: Engage with and provide oversight to the joint venture structure, ensuring robust governance and alignment with business objectives.
  • Budget Management: Oversee the legal department's budget, including strategic management of outside counsel expenditures to ensure cost-efficiency.
  • Team leadership/people development: Foster and develop leadership capabilities within the legal team, promoting a culture of excellence, collaboration, and continual professional growth.

Basic Qualifications:

  • Juris Doctor (JD) or equivalent from an accredited law school, with active membership in the bar.
  • 15+ years of progressive, post-qualification legal experience with a strong focus on infrastructure projects, ideally in an in-house OEM, energy, construction, or engineering environment.
  • Deep experience with project agreements in domestic and international contexts.
  • Experience working within or advising large OEMs or multinational industrial companies.
  • Strong understanding of project finance, cross-border regulatory environments, and sovereign/government contracting.
  • Track record of executive-level influence, commercial pragmatism, and sound risk judgment.
  • Must be a U.S. citizen, permanent resident, or possess qualifications for access to classified information.

Preferred Qualifications:

  • Extensive experience in managing complex, international commercial legal matters.
  • Proven track record as a counsel in large infrastructure projects.
  • Demonstrated leadership capabilities and experience functioning as a member of the senior management team.
  • Exceptional communication, presentation, and interpersonal skills.
  • Proven ability to deliver cost-effective and timely legal services.
  • Willingness and capability to travel internationally to support global business needs.
  • Ability to distill complex legal issues into clear, actionable guidance for non-legal stakeholders.
  • Comfortable operating with incomplete information and rapidly changing commercial dynamics.
  • Culturally fluent and experienced working across time zones and regions; Multilingual capabilities and international legal experience
  • Proven success navigating large matrixed organizations and engaging at the board or C-suite level.
  • Resilient, proactive, and able to manage competing priorities under pressure.

The base pay range for this position is $248,000 - $350,000. The specific pay offered may be influenced by a variety of factors, including the candidate's experience, education, and skill set. This position is also eligible for performance bonus & equity. This posting is expected to remain open until Sept 27, 2025.
