As our Legal Counsel you are part of a global Legal team, you will offer key support and - at
times, lead on all aspects of the contracting cycle in the APJ region (Asia including Japan,
Singapore, Hong Kong, India, China and Australia, New Zealand). This includes working
with clients within the EcoVadis Group, their suppliers and our providers.

Responsibilities

1. Contracts

  • This will include revision and negotiation of standard contracts, general terms and conditions, as well as customer specific contracts, identifying and mitigating the contractual risk and giving guidance as to necessary approvals in adherence to the company’s approval framework;
  • This will include revision and negotiations of supportive documentation such as Non-Disclosure Agreements, Data Processing Agreements, etc.;
  • Legal Counsel will draft, review and negotiate a wide range of agreements, including sales contracts, SaaS contracts, framework agreements, addendums, standard terms and conditions, and also marketing agreements, agreements with business partners, software license agreements, service and vendor agreements.

2. Other legal tasks

  • Regularly collaborate with other teams – Sales, Customer Success, Finance, Marketing, HR, Data Protection Officer;
  • Local HR support;
  • Responding to variety of requests coming from other functions;
  • IP, including trademark support;
  • Work with each team member in the Legal Team if and when needed to provide support to other regions (EMEA, Americas) and in the completion of any contract or project;
  • Work with external legal counsel to ensure matters are progressed efficiently and brought to a satisfactory conclusion, review external counsel advice, follow up if necessary, summarise the advice for consumption by internal customers; and
  • Stay updated on changes in relevant local laws and regulations impacting the business and proactively advise the business on those changes.

Qualifications

  • You have a bachelor's degree in law or above from an APJ country, EU or UK, knowledge of English law is a plus (contracts for the APJ region could be based on English law);
  • You are able to provide legal service fluent in English (English is the common working language in the Legal team), an additional fluent language from the APJ region such as Japanese or Chinese is a plus (as you will have regular contact with clients in the APJ region);
  • You have demonstrable legal experience as an in-house lawyer or in a leading law firm in an international environment; practical experience in international commercial contract law is a plus.
  • You have strong knowledge and experiences in IT agreements, focusing on SaaS contracts, knowledge and experiences in data protection and privacy law is a plus;

In addition, you will:

  • Be able to multitask and work in a fast-paced, international environment;
  • Be team oriented, professional, focused on cooperation not competition, with the ability to respond and be flexible to client demands, looking for alternative solutions, whilst adhering to internal policies;
  • Have executive-level communication skills, verbal and written, in English;
  • Show commercial awareness and the ability to align legal strategies with business objectives;
  • Enjoy taking the initiative and acting independently and with good judgement, you will be offered scope and autonomy in good measure with senior level support available when needed;
  • Be proficient in using legal tools and technology for daily work, including for research, contract lifecycle management and efficient communication;
  • Be enthusiastic about embracing the EcoVadis values, a modern work culture and a global team; and
  • Have an interest or are willing to learn about sustainability, this will be a plus.
