Job summary

The Senior Counsel, Corporate & Securities leads all securities legal activities including compliance with securities laws, debt and equity financings, corporate filings, and corporate law compliance. The position provides strategic legal advice and support to senior management regarding compliance with all applicable statutory and regulatory requirements.

Job responsibilities

• Lead and manage all aspects of corporate securities compliance, including the review and drafting of all 1934 Act filings, annual proxy statements, and Section 16 and NYSE listing requirements compliance.

• Lead the preparation and management of the company's SEC filings, including periodic reports, current reports, proxy statements, securities offerings, and other related filings.
• Provide legal support to the Chief Legal Officer and the Corporate Secretary on securities.
• Advise on insider trading and all matters of securities law, ensuring compliance with SEC and NYSE rules and regulations.
• Collaborate and provide legal guidance on external communications such as earnings releases, press releases, investor presentations, marketing materials, and the company's website.
• Support the management of finance and capital markets transactions, including any debt or equity transactions.
• Provide legal support for the maintenance of the company's subsidiaries and for corporate transactions, including mergers, acquisitions, and joint ventures.
• Monitor and maintain awareness of pending regulations and developments relevant to the company's business interests, particularly relating to corporate governance and public company matters.
• Mentorship within a team of legal professionals, fostering a collaborative and high-performance culture.

Qualifications:

Basic Qualifications:
• Bachelor's Degree from an accredited institution and Juris Doctor (JD) degree from an accredited law school.
• Admitted to practice law / member of the bar.
• Minimum of 12 years of experience in corporate securities law post law degree.
• Proven track record of successfully leading and closing complex corporate securities transactions.
• Must be able to travel up to 25%, some globally.

Preferred Qualifications:
• Experience in a corporate legal department or a top-tier law firm. Ideally a combination of both.
• Substantive knowledge and experience with corporate law, securities law, and regulatory compliance.
• Excellent negotiation, drafting, and analytical skills.
• Ability to work effectively in a fast-paced and dynamic environment.
• Demonstrated experience working with senior executives, including developing and presenting strategy, advocating and influencing, coaching and advising, and providing direct feedback.

Soft skills

• Solid influencing and organization skills with demonstrated managerial courage.
• Strong executive presence, including demonstrated experience presenting, reporting out, and influencing at the executive level.
• Highly developed sense of judgment and risk management skills, with proven ability to think globally.
• Ability to think and act strategically.
• Good problem solver; able to analyze, evaluate and distill complex qualitative and quantitative data and issues into workable parts and report on same.
• Exceptional verbal and written communication and platform skills; ability to communicate and relate at all levels of the company to enforce standards where necessary in a persuasive manner. "

The expected annual salary range for this role is $176249.97 - $258499.96 a year. This role is also eligible for a variable incentive program.
