Overview

As a Corporate Secretary, you'll provide legal support and guidance to ensure the proper governance of and compliance with applicable laws, rules, regulations, and internal policies applicable to our US Boards and Committees. You will act as the expert of the Diligent platform, guaranteeing the high quality and timely distribution of materials. The role will serve as an integral member of the Bank's legal infrastructure as a trusted legal advisor

  • What You'll Do

    • Advise board of directors and senior management on corporate governance matters, including compliance with applicable, laws, regulations, and best practices.
    • Trusted advisor to chair, CEO and/or President of legal entity boards and committees, advising upon legal and risk concerns and ensuring proper escalations and compliance with applicable bylaws, charters, shareholder agreements and corporate governance requirements.
    • Draft and review legal documents, including annual review and/or modifications to charters, shareholder agreements, resolutions, officer and incumbency certificates.
    • Support all aspects of Board and Committee meetings, including working collaboratively with chair, CEO and/or President of legal entity to address legal requirements requiring board action, design agendas considering regulatory requirements and management's direction, oversee and assist with the preparation, collection and distribution of meeting materials, attend all meetings and conduct legal and governance requirements at meeting, draft, and review meeting minutes
    • Perform annual effectiveness assessments and ensure content address legal and corporate governance obligations and policies.
    • Create and ensure accurate corporate records in all required systems, (BluePrint, Board Pad, Diligent applications, as well as for proprietary internal systems) manage and certify via legally required secretary certificate the production of corporate governance records for regulatory examination, audit purposes or other initiatives.

    How You'll Lead

    • Support all aspects of Board and Committee meetings, including working collaboratively with chair, CEO and/or President of legal entity to address legal requirements requiring board action, design agendas considering regulatory requirements and management's direction, oversee and assist with the preparation, collection and distribution of meeting materials, attend all meetings and conduct legal and governance requirements at meeting, draft, and review meeting minutes

    Skills You'll Need
    • Juris Doctor from an accredited law school and active member in good standing - NY State Bar Admission
    • Relevant experience with corporate governance platforms, such as Diligent Boards
    • Previous corporate secretariat and governance experience
    • Knowledge of Delaware General Corporate Law and New York Banking law.
    • Proficiency in MS Office including Outlook, Word, PowerPoint, and Excel

    Skills That Will Help You Excel
    • Notary Public license in the State of NY a plus, but not required
    • Excellent written and verbal communication skills
    • Ability to work well independently and with a team in a fast-paced environment
    • Highly organized and detail-oriented with strong multi-tasking and time management skills

    Expectations

    It is the Bank's expectation that employees hired into this role will work in the New York, NY office in accordance with the Bank's hybrid working model.

    The salary range for this position in New York City is $125,000 to $254,500.Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
