Work you'll do
As a T&IS Tax Consultant focused on E300, you will:
- Analyze and understand complex tax issues focused primarily in the Subchapter C corporate tax world with an emphasis in preparing and reviewing tax stock basis analyses, earnings & profits analyses ("E&P"), and Section 382 analysis, as well as other complex consolidated tax return issues through research modeling and drafting memos on such complex issues.
- Develop experience and gain understanding of our clients through reading financial statements, regulatory filings, transactional documentation, client correspondence, and tax returns. Translate that knowledge into assisting in the evaluation of the income tax implications of different types of technically complex corporate life cycle events ranging from equity financings, IPOs, restructurings, and mergers, acquisitions, and divestures.
- Direct complex tax research, formulate tax-planning strategies, and gain an deep understanding of complex tax rules and regulations focused primarily in the U.S. federal tax rules and consolidated regulations (e.g., Treas. Reg. section 1.1502-32, -33, and section 382).
- Team with other members of Deloitte Tax (including Business Tax Services, M&A Transaction Services, and International Tax) in maximizing client value.

The team
National Federal Tax Services (NFTS) is a national practice within Deloitte Tax LLP made up of multiple tax service offerings, including Transaction & Integration Services (T&IS). Each NFTS service offering has been developed and built in response to a tax planning opportunity, a marketplace need, or a technological innovation - with the purpose of delivering results for our clients. Our people are entrepreneurial in spirit and have always had the work-hard/play-hard mentality.
The Transaction & Integration Services (T&IS) practice advises businesses and their investors on tax matters associated with integration, divestment, joint ventures, bankruptcy emergence, public equity offerings, and legal entity realignment. Within this team, a segment of the group is focused on Tax Basis Analyses, Earnings & Profits Analyses, and Section 382 Analyses (E300). This subgroup functions primarily as specialists within certain highly technical sub-C projects, often teaming with other areas of Deloitte Tax (including M&A Transaction Services and Business Tax Services). The goal of E300 is to deliver appropriate tax consulting services to companies involved in large mergers, acquisitions, divestitures, and other restructuring transactions.
Qualifications
Required:
- Ability to perform job responsibilities within a hybrid work model that requires US Tax professionals to co-locate in person 2 - 3 days per week
- Bachelor's degree in Accounting, Business, Finance, or JD
- 1+ years' experience in core federal tax compliance, including federal and/or international
- Experience with ASC 740, tax accounting, and basic corporate tax principles
- Ability to travel 30%, on average, based on the work you do and the clients and industries/sectors you serve
- One of the following active accreditations obtained, in process, or willing able to obtain:
- Licensed CPA in state of practice/primary office if eligible to sit for the CPA
- If not CPA eligible:
- Licensed attorney
- Enrolled Agent
Preferred
- Previous Big 4 experience or equivalent
- Advanced degree such as MST, MAcc, or LLM
- Experience in corporate tax issues associated with business combinations and divestitures, including substantial experience in taxation of corporations and their shareholders, partnerships and their partners, and similar disciplines
- Self-starter with demonstrated ability to effectively handle multiple, competing priorities
- Demonstrated effective verbal and written communication skills
- Highly disciplined and able to work under strict deadlines in fast-paced collegial environment
The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $74,240 to 126,960
You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
