Company Secretary/Senior Manager

Dublin

Part time, Hybrid

Some of the things you'll be doing:

  • as a relationship manager to some of our key clients, including investment banks, lending institutions and fund managers.
  • a varied portfolio of companies involved in various transactions including securitization, structured finance, private credit, restructuring and real estate financing.
  • the company secretarial role for the client entities, ensuring all on-going statutory, legal and transactional obligations are met, maintaining good corporate governance throughout.
  • statutory filings, file forms with Companies House, incorporate new companies and draft constitutions.
  • convene (including the preparation of board packs) and attend client board, investor and committee meetings.
  • live minutes and action point lists from board, investor and committee meetings and circulate to clients in a timely manner.
  • in the coordination and oversight of pan European transactions from a governance, compliance and administrative perspective, including review of legal documentation as well as liaising with investors, arrangers, lawyers and other transaction parties.
  • abreast of market trends and legislative changes impacting on the GFM team and its clients.
  • with the Head of Transaction Services on corporate governance / company secretarial matters and to assist in the managing, mitigating and monitoring of corporate governance risk.
  • all Companies Act filings and registrations are completed in a timely and accurate manner. Publish notices to stock exchanges, communicate with shareholders and perform other company secretarial functions from time to time as may be required.

What technical skills, experience, and qualifications do you need?
  • and discretion will be required
  • eight years' experience working in a company secretarial, legal or structured finance role.
  • of managing live board meetings and minuting complex matters.
  • in written and spoken English.
  • written and oral communication skills.
  • to engage with senior client contacts and the confidence to coordinate client board meetings.
  • - the role is a blend of relationship management, company secretarial, corporate administration and deal management.
  • to cope with a busy workload and to agree and meet deadlines.

  • to use good judgment to make sound decisions.
