Our Opportunity:
Chewy is seeking a highly motivated and experienced Corporate Counsel to join our Legal Department in Boston, MA or Plantation, FL. The successful candidate will have significant experience advising on securities laws, corporate governance, public company reporting, M&A, and other general corporate matters, and a willingness to expand into other substantive areas to support business needs. This role requires excellent legal and business judgment and the ability to work independently in a fast-paced environment. This position will report to the Director, Associate General Counsel. What You'll Do:
- Provide advice on compliance with securities laws and NYSE rules and regulations
- Support the preparation (working in collaboration with a cross-functional team) of SEC filings, including 10-Ks, 10-Qs, 8-Ks, Proxy Statements, and Section 16 reports
- Advise on public company communications, including press releases and investor presentations
- Support administration of our Insider Trading Policy, advise on 10b5-1 plans, and assist on related equity matters
- Contribute to public company secretarial function, including assisting with the preparation of Board and committee materials
- Assist on M&A transactions and other corporate development activity
- Support the Treasury function, including advice on compliance with credit facility terms and cash management strategies
- Assist Internal Audit with SOX compliance matters
- Stay current on governance trends and best practices, as well as latest SEC and NYSE developments
- Advise on capital markets transactions
- Assist with subsidiary entity management, internal reorganization projects and intercompany arrangements
What You'll Need:
- J.D. from an accredited law school
- Admitted to the bar in either Massachusetts or Florida, respectively, or ability to be admitted as in-house counsel in Massachusetts or Florida, respectively
- At least 5+ years relevant SEC reporting and securities law compliance experience; at least 3+ years law firm experience
- Deep knowledge of U.S. federal securities laws, SEC rules and regulations, and corporate governance standards
- Experience working with Boards of Directors and senior management
- Highly organized and able to work both independently and as a member of a team
- Strong business acumen and ability to advise on business-related legal issues
- Excellent verbal and written communication skills and the ability to collaborate across functions and seniority levels
- Strong written and verbal communication skills, attention to detail, good business judgment and the ability to handle multiple projects at one time
- Position may require travel
