About This Role:
As Corporate Counsel, you will occupy a pivotal role within the legal framework of our dynamic organization, reporting directly to the Chief Corporate Counsel at Biogen's headquarters in Cambridge, MA. In this capacity, you will serve as the primary attorney overseeing critical legal domains such as SEC filings, corporate governance, board governance, insider trading, capital market transactions, investor relations, and subsidiary management. The essence of your role encompasses ensuring meticulous compliance with multifaceted securities laws and regulations, aiding in the smooth functioning of our Board of Directors, and bolstering our relationships with investors and the broader capital markets. What You’ll Do:
- Ensure company compliance with federal, state, and foreign securities laws, as well as reporting and disclosure requirements.
- Prepare and review critical SEC filings, including registration statements and Forms 10-K, 10-Q, 8-K, and proxy statements.
- Monitor corporate governance trends and developments, ensuring company alignment with regulatory changes and requirements.
- Manage the preparation of proxy statements, address shareholder proposals, and provide support for shareholder meetings.
- Furnish legal support for Biogen’s Board of Directors, including the preparation of meeting materials.
- Advise on insider trading and Section 16 issues, prepare SEC filings, devise 10b5-1 plans, and manage trading policies and procedures.
- Support capital market transactions, including debt and equity offerings, ensuring effective shareholder communications.
- Collaborate with investor relations and corporate communications on quarterly earnings and investor presentations to ensure accurate and consistent disclosures.
- Oversee subsidiary entity governance management, maintaining organizational structure and compliance.
Qualifications

You are a seasoned professional with a wealth of experience navigating the complexities of corporate law within the biotechnology or pharmaceutical landscape. Your intellectual capacity and business acumen are matched by your ability to counsel with authority and make intuitive decisions. As a communicator, you possess the clarity and skill to establish robust business practices that effectively manage legal risks. Your proximity to the headquarters will enable you to engage closely with the team and immerse yourself in the culture and operations of Biogen.
Required Skills:
- Minimum of 15 years’ experience in the corporate department of a leading law firm and/or corporate law department.
- Juris Doctor (JD) degree and active bar licensure in the relevant jurisdiction.
- Demonstrated expertise in corporate securities and governance.
- Exceptional intellectual capacity, business counseling gravitas, decision-making intuition, and communication skills.
- Proven ability to establish business practices to manage legal and other risks effectively.
- Local candidates are preferred to ensure integration and hands-on collaboration with our team.
Preferred Skills:
- A robust legal background specifically within the field of biotechnology or pharmaceutical research and development.
Additional Information
The base salary range for this position is $255,000 to $351,000. Base salary offered is determined though an analytical approach utilizing a combination of factors including, but not limited to, relevant skills & experience, job location, and internal equity.
