General
Reporting to the Director, Assistant General Counsel, you will play a crucial role in a wide range of day-to-day legal issues, including the negotiation of supply, manufacturing, IT, and logistics-related agreements, a broad range of commercial contracts, compliance, human resources and corporate matters. The ideal candidate is a proactive problem solver with a thoughtful and meticulous approach to matters. We are seeking an intellectually curious individual with high emotional intelligence, eager to learn and contribute, who thrives in a fast-paced environment and offers practical, business-oriented solutions that effectively balance business needs and legal risks. Your ability to learn quickly and adapt will be key to success in this dynamic role.
What does this job entail?
- Draft, negotiate, and execute a wide variety of commercial contracts, including supply, manufacturing, logistics, and other operations-related agreements, as well as data privacy addendums and SaaS agreements.
- Provide strategic legal advice and support to internal stakeholders across supply chain, human resources, finance, and IT on contract-related issues.
- Manage disputes and liaise with outside litigation counsel as needed.
- Assist with strategic corporate transactions, encompassing due diligence, document preparation, closing mechanics, and post-closing integration.
- Oversee subsidiary management, ensuring compliance with corporate filings and international reporting requirements, and assisting with intercompany transactions.
- Develop and deliver internal training to employees on various transactional legal and compliance issues.
- Identify and analyze legal issues, communicating practical and business-oriented recommendations to internal business teams.
- Collaborate with cross-functional teams to identify, evaluate, and resolve complex business issues and drive process improvements.
- Support stock plan management and equity matters as required.
- Develop and implement legal templates, playbooks, and best practices to streamline contract processes and enhance efficiency, ensuring compliance with relevant data privacy regulations.
- Design, develop, refine, and simplify legal processes.
- Monitor outside counsel for quality assurance, timeliness, and adherence to expectations and goals.

Qualifications:
- JD from an accredited law school and strong academic credentials.
- An active member in good standing in one state, and eligibility for admission (which may include “in house” admission) in California.
- Four to six years of relevant experience in big law and/or in-house.
- Prior experience with retail and e-commerce is a plus.
- Exceptional organizational skills, attention to detail, and a strong work ethic.
- Outstanding analytical and communication skills, both written and verbal.
- Demonstrated ability to learn quickly and adapt to new areas of law and business.
- Self-starter with ability to balance many projects simultaneously and complete tasks accurately, on schedule, and with minimal supervision.
- Practical, business-oriented approach to problem-solving.
- Sensitivity to and practical knowledge of working with individuals from a variety of backgrounds and ability to explain legal requirements and concerns in layman’s terms.
- Must be able to interact effectively at all levels of the Company.

What do we offer?
The pay range for this role is: $142,000 - $155,000 if performed at our San Francisco, CA corporate office. This role can also be performed remotely. The pay range for this position is $128,000 - $140,000 if performed outside of our corporate office.
Allbirds routinely evaluates pay rates, and the ranges are subject to change based on market rates and other considerations. We factor in a number of components when determining starting pay, including the job and level you are hired into, location, skillset, experience and peer compensation.
