Your New Role
Warner Bros. Discovery is seeking a Director, Legal, Capital Markets & Corporate Governance to support corporate governance, finance and public company reporting, as well as treasury, ESG regulatory compliance and aviation. This role will work closely with the EVP and Corporate Secretary and Senior Director, Legal, Corporate Governance to ensure WB is compliant with its legal and regulatory obligations under SEC and stock exchange rules and other applicable regulations. The initial focus will be supporting the separation of Discovery Global, which is expected to occur in Q3 of 2026. After the separation, this attorney will support corporate governance, finance and public company reporting, as well as treasury, ESG regulatory compliance and aviation for Warner Bros.
Your Role Accountabilities
- Support the Corporate Secretary in preparing for board and committee meetings including helping to prepare and distribute meeting materials, agendas, minutes, consents and resolutions; maintain the WB Board and Committee minute books
- Assist with management of WB's global portfolio of subsidiaries, including execution of various entity formations, mergers, and dissolutions in connection with the separation of Discovery Global
- Assist with corporate finance transactions, such as credit facilities, public debt offerings, commercial paper, ISDAs, etc. Lead offering due diligence, record keeping and other related projects.
- Manage tasks related to portfolio of securitized receivables and related facilities
- Other corporate governance related projects as may be assigned
- Help to prepare and review SEC filings, including 10-K, 10-Q, 8-K, registration statements, proxy statement, etc.
- Manage proxy solicitation and annual meeting process, including coordinating review/response to shareholder proposals and managing internal proxy calendar and preparation/review/filing schedule
- Keep abreast of SEC and stock exchange disclosure obligations and listing requirements
- Manage insider trading lists, pre-clearance process, and draft communications regarding trading windows and blackouts; track related party transactions
- Help to track, prepare and file Section 16 reports
- Assist with providing legal and regulatory support for WB's ESG and sustainability reporting
- Assist with providing support to WB flight operations on matters relating to aviation regulations and interpretation of WB's travel and corporate aircraft policies
- Other duties as may be assigned

Qualifications & Experience
- 4-6 years corporate experience at a law firm or related experience in a comparable in-house position. Experience with public company governance and corporate finance is required; experience with SEC reporting, securitized assets, and treasury transactions would be a plus.
- Juris Doctorate degree from an accredited law school required
- Must be, or be willing to become, a state bar member in NY and bar membership must be in good standing, or member of other U.S. state bar and able to qualify as in-house counsel in state where hired

In compliance with local law, we are disclosing the compensation, or a range thereof, for roles in locations where legally required. Actual salaries will vary based on several factors, including but not limited to external market data, internal equity, location, skill set, experience, and/or performance. Base pay is just one component of Warner Bros. Discovery's total compensation package for employees. Pay Range: $159,180.00 - $295,620.00 salary per year. Other rewards may include annual bonuses, short- and long-term incentives, and program-specific awards. In addition, Warner Bros. Discovery provides a variety of benefits to employees, including health insurance coverage, an employee wellness program, life and disability insurance, a retirement savings plan, paid holidays and sick time and vacation.
