Manager, Corporate Secretarial

We are seeking a highly skilled and motivated Manager, Corporate Secretarial to lead our global Corporate Secretarial function. This role involves managing a team of Corporate Secretarial professionals and reports directly to the Deputy General Counsel, Corporate & Securities. The ideal candidate will have extensive experience as a company secretary or corporate paralegal.

Thomson Reuters has approximately 250 subsidiaries, representative offices and branches around the world. Several of these entities are in the UK and elsewhere in Europe, Middle East and Africa (EMEA).

About the role

In this role as Manager, Corporate Secretarial, you will:

  • Lead and coordinate corporate secretarial projects across multiple countries, ensuring timely and efficient execution
  • Oversee and manage daily corporate secretarial activities for EMEA and other global entities, ensuring compliance with local regulations and corporate governance standards
  • Draft and review corporate agreements, resolutions, and documentation. Coordinate subsidiary board meetings and support internal corporate restructurings and reorganizations
  • Collaborate with various Corporate Departments (Tax, Treasury, HR, Accounting) and liaise with external legal counsel, advisors, and agents
  • Respond to information requests, manage corporate history records, and address other related inquiries
  • Support lawyers and legal professionals in M&A transactions, customer contracts, and compliance matters, both within the Thomson Reuters Legal Department and with external counsel
  • Monitor changes in applicable laws, regulations and corporate governance requirements
  • Participate in various Thomson Reuters Legal Department special projects, including technology-related initiatives to increase automation, collaboration and knowledge sharing
  • Conduct online research and due diligence
  • Perform additional duties as required

About You

You're a fit for the role of Manager, Corporate Secretarial if your background includes:

  • Bachelor's degree
  • Minimum of 10 years' experience in a corporate secretarial role or as a Corporate Paralegal in a law firm or in-house
  • Experience managing corporate secretarial activities across multiple countries, ensuring compliance with local regulations and corporate governance standards
  • Proven leadership skills with the ability to inspire and build a cohesive, high-performing team
  • Excellent organizational skills with a keen attention to detail
  • Excellent verbal and written communication skills
  • Able to work independently and part of a global team
  • Experience using Blueprint OneWorld or similar company secretarial software
  • Excellent PC skills (Word, Outlook, Excel and PowerPoint); knowledge of Microsoft Teams, electronic signature software and document assembly software
