About the Role

The Port Authority of New York & New Jersey (the "Port Authority") Law Department seeks an experienced Senior Paralegal specialist to join its Manhattan-based 100-person team. The successful applicant will provide support to transactional and corporate attorneys.

This position offers a unique and exciting opportunity to work on an extraordinary range of sophisticated legal matters for the Port Authority. This position reports to the General Manager, Operations Management and will encompass an extraordinary range of broad and interesting variety of legal work required for the Authority to comply with all applicable federal laws and regulations, as well as rules and policies adopted pursuant to the bi-state compact Compact that created the Port Authority and its enabling statutes, being implemented to advance its mission.

Responsibilities

  • Maintain corporate minute books and ensure all governance documentation is current and properly organized.
  • Draft, review, and manage corporate documents including but not limited to contracts, permits, agreements, guidance regarding recusals and corporate resolutions.
  • Ensure corporate records comply with applicable laws and regulations and assist in audits or due diligence processes.
  • Manage due diligence processes for corporate transactions.
  • Maintain legal management system with accurate corporate records.
  • Conduct periodic audits of corporate records and governance practices.
  • Coordinate contract execution process including review, routing for signatures, and final distribution.
  • Support response to freedom of information requests for Agency records in coordination with relevant departments.
  • Conduct legal research on municipal law issues using Westlaw, LexisNexis, or similar platforms.
  • Develop and maintain templates, forms, and standard operating procedures.

Minimum Qualifications

  • Bachelor's degree from an accredited college or university with at least six (6) years of relevant experience
  • In lieu of a degree, a paralegal certification from an ABA approved program; or at least fifteen (15) years' relevant experience.

Qualifications

  • Extensive knowledge in preparing minute books.
  • Extensive knowledge of corporate law, governance principles, and entity management.
  • Familiarity with open meetings laws, public records laws, and governmental transparency requirements.
  • Experience with contract management and procurement processes.
  • Thorough knowledge of legal documents and their function.
  • Demonstrated ability to complete assignments with minimal supervision, handling conflicting priorities and working under pressure while meeting tight deadlines.
  • Strong interpersonal and oral and communication skills.
  • Knowledge of case/matter management systems, document management system, PC applications (Microsoft Office Suite, Adobe Acrobat, and Lexis-Nexis/Westlaw.
  • Notary public commission or willingness to obtain.

The Port Authority of New York and New Jersey anticipates that the actual salary offered to a successful candidate will depend on aspects such as experience, knowledge, skills, abilities, and internal factors. The expected compensation range for this role is:

Minimum: $80,444 Midpoint: $104,573 Maximum: $128,700

In accordance with Port Authority policy, this position permits employees to work remotely a maximum of one day per week. In person collaboration is essential to how the Port Authority conducts business, and regular in-office days or team collaboration days may be required on business needs.
