Legal Department

The Legal Department partners with TD businesses and corporate functions to help TD achieve its strategic objectives while managing legal and regulatory risk. The Legal Department:

  • Provides practical, business-focused advice on complex legal matters
  • Supports enterprise growth through acquisitions, divestitures, strategic investments, partnerships and business initiatives
  • Identifies and manages legal and regulatory risk
  • Provides strategic legal advice to senior executives and boards
  • Supports engagement with regulators and policymakers
  • Leverages expertise across Canada, the United States and other jurisdictions in which TD operates

Position Overview

TD is seeking an experienced Senior Counsel, Legal to join the Mergers & Acquisitions legal team.

The Senior Counsel will serve as a trusted advisor to TD's Corporate Development team, business executives and other legal colleagues on a broad range of strategic transactions and corporate initiatives. The successful candidate will lead the legal aspects of mergers, acquisitions, divestitures, strategic investments, joint ventures and partnerships, internal reorganizations and other significant strategic transactions across TD's businesses.

The role requires strong transaction execution capabilities, sound judgment, exceptional stakeholder management skills and the ability to balance legal risk management with commercial objectives in a dynamic, fast-paced and highly regulated environment.

Key Responsibilities

Lead Strategic Transactions

  • Lead legal execution of mergers, acquisitions, divestitures, strategic investments, joint ventures partnerships, internal reorganizations and other significant strategic transactions
  • Advise on transaction structure, legal and regulatory considerations, governance requirements and execution strategy
  • Draft, negotiate and oversee transaction documentation
  • Lead legal due diligence and integration planning efforts
  • Coordinate multidisciplinary legal support across specialist practice areas

Advise Senior Leadership

  • Provide strategic legal advice to senior executives and other stakeholders regarding transaction opportunities and risks
  • Present complex legal and business issues in a practical, concise and actionable manner
  • Support executive, management and board approval processes

Manage Legal and Regulatory Risk

  • Identify, assess and mitigate legal and regulatory risks associated with strategic transactions
  • Advise on applicable banking, financial services, securities, competition, privacy, employment, technology and other legal issues
  • Support engagement with Canadian, U.S. and international regulatory authorities, where required

Lead External Counsel and Internal Stakeholders

  • Select, instruct and manage external counsel
  • Drive efficient use of legal resources and management of external legal spend
  • Coordinate teams across Legal, Compliance, Risk, Finance, Tax, Treasury, Human Resources and business lines
  • Lead cross-functional transaction teams and influence outcomes across multiple stakeholder groups

Contribute to Enterprise Strategy

  • Support enterprise strategic initiatives and special projects
  • Advise on emerging legal developments affecting growth initiatives and transaction activity
  • Contribute to the development of legal precedents, best practices and transaction processes
  • Mentor junior lawyers and contribute to the development of the broader Legal team

Qualifications

Required Experience

  • Law degree (LL.B. or J.D.) and member in good standing of the Law Society of Ontario
  • Typically 10+ years of experience in mergers and acquisitions, corporate transactions or corporate development matters gained at a leading law firm, financial institution or sophisticated in-house legal department (strong candidates with less than 10+ years of experience are also encouraged to apply)
  • Significant experience leading complex domestic and cross-border transactions
  • Experience negotiating transaction documents and managing external counsel
  • Experience advising senior executives and other decision-makers

Desired Experience

Experience with one or more of the following:

  • Financial institutions and banking regulation
  • Public company transactions and securities law matters
  • Strategic investments and joint ventures
  • Technology, fintech and artificial intelligence transactions
  • Wealth management, capital markets or retail banking businesses
  • Regulatory approval processes involving Canadian or U.S. financial regulators
