Job Description:

The Head of US Commercial Examinations and Loan Reviews leads the Commercial Examinations function within the Loan Review Division and is responsible for executing the Examination plan to conduct scheduled examinations throughout the plan year and includes planning, sampling, fieldwork, and reporting.

This role is responsible for providing proven, specialized, in-depth loan review expertise and credit/risk policy, process and procedure guidance to the Loan Review Examination team. This role requires well developed oral and written communication skills, the ability to influence and negotiate, manage complex and problematic processes, and make informed and well supported decisions that directly impact the credit risk profile of the bank.

The Head of Commercial Examinations provides support to the Head of Loan Review. This role is responsible for managing processes and teams that provide independent assessments of Credit Portfolio Quality, Underwriting, Monitoring, Risk Rating, and Portfolio Management practices as well as Key Issues and other aspects of credit risk management.

The span and type of activities is risk-based, covers all Commercial lending, and directly influences asset quality, administrative processes, compliance with internal policies and guidelines, as well as adherence to prudent, safe, and sound banking practices as defined by laws, regulations and other regulatory expectations.

This role manages and provides guidance to a team of Loan Review professionals, manages resources and establishes programs to ensure best practices and the continued growth of Loan Review consistent with the bank's risk appetite, expansion plans and maintenance of a strong risk management culture. This role is a member of the leadership team that determines objectives and strategy for the Division and reports to the Head of Loan Review.

Depth & Scope:

Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required

• Reports to and proactively advises the Head of Loan Review on a wide-variety of credit related matters Ensures effective and efficient use of the TD Bank Loan Review Policy. Acts as a final authority on all matters related to assigning risk ratings

• Regularly meets with senior TDNA executives to review credit related performance matters and opportunities. Identifies matters requiring attention and recommends remedial activities

• Oversees the processes and teams responsible for preparation of Commercial Loan Review Examination Reports and special projects

• Possesses broad background and understanding of a wide spectrum and interrelationship of bank departments and processes

• Oversees interaction with lending department credit risk officers, providing performance information, general feedback and observations while identifying areas requiring particular attention or training Oversees the supervision and training provided to Commercial Loan Review employees. Counsels and coaches staff to develop and support employees

• Collaborates with various risk management and line of business committees. Provides knowledgeable insight, advice and counsel • Routinely modifies methods and procedures as needed, applying process expertise and knowledge of department functions to address exceptional issues and support work of others

• Coordinates Commercial Loan Review examination activities. Approves scope and priorities as well as areas of particular focus or attention. Reviews criteria for selection of files for review processes, noting significant underwriting trends and recommending policy changes.

• Reviews various departmental policies and procedures for consistency and compliance with Company policy. Acts as a key liaison with regulatory agencies and audit groups regarding Loan Review activities and more broadly, credit related matters of interest or concern

• Contributes to the Risk Management Team by sharing knowledge and expertise and contributing to sound decisions Directs the review of all types of Commercial loans and commitments for the purposes of verifying the accuracy of loan ratings, changing ratings and classifying loans as necessary, determining the degree of attention required, identifying potential credit problems, identifying documentation deficiencies and ensuring conformity with Company policy and government regulations

• Provides reports on potential early warning signs on the Commercial portfolios and US Wholesale portfolio.

• Participates in special projects, including due diligence activities for the acquisition of loan portfolio assets

• Supervises work teams to achieve Loan Review planned timelines

• Leads the department to most efficiently and effectively use technological and human capital resources Builds strong ties with other Risk Management teams. Coordinates the Department Plan and process with other Risk Management Groups to avoid redundancy and improve efficiency

• Communicates with audit and security staff as needed regarding suspected fraudulent loans or practices

Education & Experience:

• 4 Year undergraduate degree required

Advanced degree preferred

• 15+ years total related experience required

• In-depth knowledge of loan review principles, practices, and governing regulations.

• Proven management/leadership experience

• Demonstrates superior credit, analytical, project management and communication skills

• Recommends Portfolio Quality and Credit Administration ratings and Key issue assessments

• Possesses the ability to quickly synthesize, summarize and act on large volumes of complex information

• Fosters and builds executive relationships

• Advanced communication skills

• Ability to enable and empower professional leaders within the Division

• Promotes and manages a challenging and changing business/work environment

• Proven executive decision-making skills

• Certifications highly preferred
