Northrop Grumman is seeking an experienced, motivated transactional attorney to join our team in Falls Church, VA, as Corporate Counsel, M&A and International Transactions. The successful candidate will be responsible for helping to form and manage cross-functional legal teams to support delivery of domestic and international corporate transactions, including mergers, acquisitions, divestitures, equity investments, joint ventures and strategic alliances. Working in close partnership with our Strategy Team and Corporate Global Business Development Office, the Corporate Counsel, M&A and International Transactions will be an integral, hands-on participant, helping evaluate opportunities, supporting negotiations, and overseeing the legal process associated with sophisticated transactions.

The successful candidate will be an experienced M&A lawyer with impeccable judgment, ethics and integrity, and the drive to engage and take ownership of a wide variety of matters. Roles and Responsibilities
General

Providing business-oriented legal advice relating to Northrop Grumman's domestic and international transactions to achieve enterprise-wide goals in challenging markets
Managing an active portfolio of transactions and antitrust matters by supporting and, in many cases, leading all legal aspects of a variety of domestic and international transactions across the Company
M&A / Antitrust

Leading investments and smaller M&A transactions; supporting larger M&A transactions
Working collaboratively across a broad range of teams, including developing and maintaining strong working relationships between legal, strategy, tax, treasury, finance, human resources, investor relations, and other functions
Drafting and reviewing acquisition agreements, bid letters, term sheets, equity commitment letters, joint venture agreements, confidentiality agreements, engagement letters, and other deal documents
Working with deal teams and leadership to identify opportunities and balance risk
Helping drive the deal cycle, including providing oversight to external third parties and coordinating engagement of internal stakeholders
Advising the Company with respect to U.S. and foreign antitrust/competition law compliance, including HSR filings, exclusive arrangements, and government inquires relating to industry transactions under review
International Support

Negotiating strategic collaborations with international partners, including joint ventures, teaming agreements, strategic alliances, and other bilateral and multilateral arrangements
Advising the Corporate Global Business Development function with respect to broad range of issues including MOUs, NDAs, international consultant agreements, anti-corruption compliance, and compliance training
Providing legal support to in-country teams where Northrop Grumman has offices in Europe, Asia, and the Middle East with respect to wide range of regulatory and compliance issues
Assisting in negotiation of DCS transactions with foreign customers, teammates and suppliers
Providing support to all business sectors engaged in international pursuits and programs and liaise with functional experts
Advising the Company with respect to industrial participation (offset) activities and transactions
This role may be filled at a higher level based on the requirements below.
Basic Qualifications Corporate Counsel 1

Juris Doctor degree from an ABA accredited law school and active state bar membership
Sophisticated training and experience with national or international law firm; minimum of 8+ years of relevant experience
Basic Qualifications Corporate Counsel 2

Juris Doctor degree from an ABA accredited law school and active state bar membership
Sophisticated training and experience with national or international law firm; minimum of 10+ years of relevant experience
Basic Qualifications all levels

Expertise handling mergers, equity transactions, asset purchases, joint ventures and other transactions, including cross-border transactions
Demonstrated accountability for the deal cycle and negotiations on transactions of varying size and degrees of complexity
Being an effective and articulate negotiator who can distil the important aspects of any transaction
Ability to juggle simultaneous deals and priorities
Experience proactively communicating and managing expectations with multiple constituencies
Demonstrated familiarity with antitrust matters including HSR notifications and reviews
International law experience
Ability and willingness to travel (domestic and international); generally less than 10% travel time
Ability to obtain a DOD security clearance
Preferred Qualifications

Experience advising government contractors or other regulated businesses
Exposure to government contracting industry, parameters, and implications
Aerospace and defense industry experience
Balance of both domestic and international complex deal experience
Exposure to distressed company/supplier issues

Primary Level Salary Range: $206,900.00 - $297,400.00Secondary Level Salary Range: $227,700.00 - $327,300.00The above salary range represents a general guideline; however, Northrop Grumman considers a number of factors when determining base salary offers such as the scope and responsibilities of the position and the candidate's experience, education, skills and current market conditions.Depending on the position, employees may be eligible for overtime, shift differential, and a discretionary bonus in addition to base pay. Annual bonuses are designed to reward individual contributions as well as allow employees to share in company results. Employees in Vice President or Director positions may be eligible for Long Term Incentives. In addition, Northrop Grumman provides a variety of benefits including health insurance coverage, life and disability insurance, savings plan, Company paid holidays and paid time off (PTO) for vacation and/or personal business.The application period for the job is estimated to be 20 days from the job posting date.
