An opportunity has now arisen within the Legal and Compliance Division of Morgan Stanley for an senior in-house legal counsel position in our Mumbai office. The candidate will have to be a lawyer with deep industry knowledge in the financial services sector, primary and secondary markets with minimum 10+year PQE in the India market.

Position

Responsibilities will, amongst other things, include:

  • Working with Asia Pacific Legal and Compliance Division, internal business functions, control functions and firm management stakeholders;
  • Working on a range of debt and acquisition financing transactions, advisory on fixed income products, regulatory framework applicable to lending and borrowing transactions;
  • Assisting and advising on secondary market transactions both on the equity and debt side;
  • Engaging with colleagues in other regions/time zones (e.g. Asia Pacific, EMEA and U.S.) to ensure consistent practices across the Firm;
  • Engaging with external parties including counsels and industry working groups;
  • Ensuring that firm management, colleagues and staff are informed of relevant legal and regulatory developments and their implications, particularly as it relates to financial services;
  • Liaising with internal clients, outside legal counsel, colleagues and staff to manage legal risk, including contractual negotiations, local licensing and regulatory issues, outsourcing arrangements and compliance with relevant laws; and
  • Identifying and resolving issues relating to suitability of transactions and external clients, franchise protection and sound management of conflicts of interests.


Based in Mumbai, the lawyer will report to the Head of Legal, India and work closely with other legal and compliance professionals in Asia Pacific, EMEA and U.S. Experience/Skills
  • Indian qualified lawyer with minimum 10+ years PQE in reputable international or India law firm or in-house at an international investment bank.
  • Experience in advising on banking and finance, securities law, derivatives, sales & trading businesses (both with respect to institutional equities and debt), corporate and regulatory matters.
  • Extensive experience working in the Indian market with deep knowledge on the Indian financial services regulatory framework, corporate laws and exchange control laws.
  • Knowledge and experience in IFSC related laws and regulatory framework would be an added bonus.
  • Excellent written and oral communication, adaptable to advice on new and emerging areas of law that impact Morgan Stanley with the ability to work in cross border teams.
  • Openness to use Morgan Stanley's approved AI tools for execution efficiency.
