What you'll do in the role:
Morgan Stanley & Co. LLC is seeking an Associate, Banking in New York, New York to develop various types of financial models to value public and private companies using various valuation methods such as comparable companies, precedent transactions, and discounted cash flow analysis. Evaluate the quantum of debt and equity required for mergers, acquisitions, leverage buyouts, take-private, and other strategic and capital market transactions. Develop recommendations for private equity transactions, mergers and acquisitions, and other transactions based on valuations supported by quantitative analyses. Prepare and review materials used in mergers and acquisitions, leverage buyouts, carve-out divestitures, take privates, hostile and defense situations including investment memoranda, management presentations, and pitchbooks. Perform due diligence, industry research, quantitative, and qualitative analyses to execute corporate and private transactions. Facilitate client communications and client meetings to ensure seamless progression of transactions through to execution and closing.

What you'll bring to the role:
-Requires a Master's degree in Business Administration, Finance, or a related field of study
-Requires three (3) years of experience in the position offered or three (3) years as an Associate, Analyst, or a closely related occupation
-Requires three (3) years of experience with the following skills:
- valuation methodologies including comparable company analysis, and precedent transactions;
- cross-border mergers and acquisitions transactions including jurisdictional complexities, FX considerations, and geopolitical risk factors;
- Excel and PowerPoint;
- regulatory and compliance considerations including antitrust, ESG disclosures, and governance-related risks.
-Requires any amount of experience with the following skills:
- constructing and maintaining detailed financial models including three-statement, discounted cash flow, leveraged buyout, and merger models;
- capital markets dynamics and their integration into mergers and acquisitions processes including collaboration with equity and debt capital markets teams on deal structuring and timing;
- facilitating due diligence processes across legal, tax, accounting, and operational areas;
- preparing pitchbooks, confidential information memoranda (CIMs), and board presentations;
- MS Office suite;
- handling full transaction lifecycle from deal initiation through closing including Non-Disclosure Agreements, Indication of Interest, Letter of Intent, management presentations, and dataroom oversight.

Expected base pay rates for the role will be between $225,000 and $225,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
