DESCRIPTION:

Duties: Lead corporate finance analysis on various topics including financing alternatives, debt optimization, liquidity, capital allocation, risk management. Provide guidance on financial analysis using statistical and mathematical tools like multivariate regression analysis, Monte Carlo-based models, portfolio risk management models, and capital structure optimization tools. Evaluate a company's performance and value by comparing financial statements of publicly-traded corporations with that of comparable companies to identify financial trends and apply business valuation methodologies. Analyze current and past accounting and financial records to develop budgets and projections of a client corporation's balance sheet, income statement and other financial reports detailing a company's projected revenues, expenses, assets, liabilities and equity capital. Conduct accounting/financial and business due diligence on clients in connection with various transactions to ascertain the accuracy of a given company's reports and soundness of its financial situation. Develop new frameworks and models to assess the risks associated with transactions and advise clients on the optimal strategy. Identify client issues/sector trends and design and implement new frameworks that address specific client needs. Engage in the execution of proposed strategic and/or capital markets transactions while navigating complex variables such as tax, foreign exchange, financing, and accounting treatment. Participating in business and company events to identify new business opportunities and pitch for new clients. As circumstances may require, lead and/or participate in execution meetings with support of execution/product partners. This position requires up to 20% travel (domestic, and international to Europe and Asia) to visit various client sites.

QUALIFICATIONS:

Minimum education and experience required: Bachelor's degree in Business Administration, Finance, Economics, Mathematics, Engineering, or related field of study plus seven (7) years of experience in the job offered or as Client Executive, Investment Banker, Fund Manager, or related occupation.

Skills Required: This position requires seven (7) years of experience with the following skills: pricing of exotic options and derivation of implied probabilities using Black-Scholes and other option models; assessing barrier conditions, volatility, and credit spread for valuing derivative instruments; applying Levy processes including Brownian and Poisson; analyzing call spreads, prepaid variable forwards, and exchangeable instruments under Change of Control; performing valuation of tax receivable agreements, deferred purchase obligations, contingent value rights, earnouts, and put/call structures; evaluating corporate form in M&A and IPO including C-Corp, S-Corp, PTP, MLP, REIT, DLC, and choice of jurisdiction including domiciles of convenience; structuring vehicles to comply with Investment Company Act of 1940 including OEF and CEF RICs, BDCs, SPACs, PCVs; assessing US GAAP and IFRS treatment of investments, retained equity, and joint ventures; structuring leases and purchase price to be capitalized; structuring financing to obtain off-balance sheet treatment or equity treatment by rating agencies; analyzing bank regulatory capital treatment of various risk- weighted assets including potential impact of Basel III Endgame; evaluating Volker and Reg W implications of principal investments; applying Section 7874 for cross-border M&A transactions including lookback for historic acquisitions; analyzing LBO returns inclusive of Section 163(j) limitations on interest deductibility; performing valuation of tax attributes in a Change of Control subject to Section 382 limitations; executing corporate spin-offs and demergers to comply with tax- free requirements in jurisdictions including US (Section 355), UK, France, Netherlands, and Japan; executing split-offs in context of Reverse Morris Trusts using variable exchange ratio pricing mechanics; multi-currency and multi-commodity ALM modeling; defined benefit pension plan assets and obligation accounting; and using Monte-Carlo simulation modeling for corporate capital needs and liquidity assessment. This position requires three (3) years of experience with the following skills: leading presentations on recommended transaction structure for capital raising, acquisitions and divestitures for C-suite executive management teams (such as CEO or CFO) and board directors of public companies listed in the Americas, Europe, and Asia; articulating to China-based management teams the benefits and considerations of transaction structure alternatives; and engaging with management teams and board directors on changes to capital market conditions and regulatory environment via both in- person and virtual meetings. This position requires the following license(s): FINRA Series 79; and FINRA Series 63.
