Role Summary/Purpose:

This Senior Manager Equity Compensation will support the Design and Communication of GE Vernova's Equity programs in close collaboration with the Total Rewards Senior Leadership team. Specifically, this incumbent will be responsible for supporting the day-to-day activities of GE Vernova's equity plan. The Senior Manager Equity Compensation will be thoroughly familiar with equity incentive plans including Stock Options, Restricted Stock Units (RSUs), Performance Share Units (PSUs), and Employee Stock Purchase Plan (ESPP). The Senior Manager Equity Compensation will interface with the following teams in support of equity plan design, communication, and administration: Human Resources, Payroll, Legal, Financial Planning & Analysis, Tax, and both internal and external auditors. We are looking for an analyst who will assist in scaling the company's equity administration function as we grow.

Responsibilities:

  • Oversee the entire equity administration process and the stock administration platform, including new equity grants, setup of new participants, vesting process, and modifications
  • Ensure equity transactions are reflected timely and accurately in accordance with tax regulations (40+ countries)
  • Collaborate with the Accounting team to support recording stock-based compensation expense, financial statement disclosures, and earnings per share calculations
  • Collaborate with Legal in preparation of quarterly materials for the Board of Directors/Compensation Committee meetings and of annual Proxy Statement
  • Assist in preparation and filing of Section 16 reports (Forms 3, 4 and 5)
  • Ensure compliance with all relevant regulations and internal policies related to equity administration
  • Provide accurate and timely reporting on equity-related matters to senior management and other stakeholders
  • Continuously review and improve equity administration processes to enhance efficiency and effectiveness
  • Preparation and distribution of stock plan communications, such as grant notifications, award agreements, statements, and employee education materials.
  • Provide support and guidance to employees regarding their stock grants, including answering questions and assisting with stock plan account navigation.
  • Collaborate with external vendors, such as brokers or transfer agents, to manage the transfer and administration of stock awards, including: grant/vest process management and statement generation; ensuring accurate tax withholding on equity awards; assisting with Form 4 reporting; assisting in data preparation for Board of Directors approval; and acting as a central resource for external partner support.
  • Work with Legal to ensure we are operating our stock awards properly in a global environment.
  • Perform various analytical work and costing to ensure grants are market-based in approach and are efficient.
  • Work with external partner for mobile employee tax calculations.
  • Partner with Finance/Accounting on stock compensation expense reporting.
  • Assist with quarterly performance updates on outstanding PSU's
  • Stock award data integrity management.
  • Reporting and analysis as needed.

Qualifications:

  • Prior experience as international/global stock/equity plan administrator or in a similar role, preferably within a global, publicly traded company.
  • Familiarity with stock plan administration platforms (e.g. Fidelity)
  • Excellent attention to detail and accuracy in handling complex calculations and data.
  • Ability to prioritize tasks, meet deadlines, and handle confidential information with discretion.
  • Effective communication and interpersonal skills to collaborate with stakeholders at all levels.
  • Experience with equity-based accounting and tax matters.
  • Bachelor's degree or equivalent.
  • CEP preferred.
  • High level of IT literacy with advanced Excel skills.
  • Bachelor's degree in business, quantitative area of concentration or other related field
  • Minimum 5 years' experience in HR, total rewards or other analytical or related discipline

  • MBA or advanced degree

For candidates applying to a U.S. based position, the pay range for this position is between $105,800.00 and $176,400.00. The Company pays a geographic differential of 110%, 120% or 130% of salary in certain areas. The specific pay offered may be influenced by a variety of factors, including the candidate's experience, education, and skill set.

Bonus eligibility: ineligible.
