Job Description
As a valued contributor to our legal team, you will consult with your team and management in managing our legal obligations associated with public company disclosure, including under the Securities Exchange Act of 1934, and related areas of securities law for the Company and/or provide independent, strategic counsel across business lines, functional areas, and disciplines.

The Enterprise Legal- Deputy General Counsel- Principal role will offer you the flexibility to make each day your own, while working alongside people who care so that you can deliver on the following responsibilities:
- Assist in managing the company's strategy for complying with legal obligations under the federal securities laws, including the Securities Exchange Act of 1934 and related periodic disclosure requirements.
- Manage internal and external resources to address the legal risks associated with Fannie Mae's status as a public company.
- Advise on executive compensation, securities law compliance matters, Regulation FD, and prepare and administer securities law training programs.
- Counsel management on matters requiring highly specialized, technical legal knowledge or depth across multiple disciplines, regulatory frameworks, lines of business, and business activities.
- Partner with management to provide strategic legal counsel to executives on significant business, accounting, and legal issues or initiatives.
THE EXPERIENCE YOU BRING TO THE TEAM
Minimum Required Experiences
- 8 years of experience, combination of law firm, corporate and/or government service.
- Juris Doctor Degree.
- Admission to practice law.
- Team player with exceptional judgement, diplomacy and discretion.
- Ability to multi-task and manage competing deadlines and priorities.
- Ability to communicate effectively with stakeholders at all levels of the organization.
Desired Experiences
- Professional experience advising public companies in the federal securities laws, including the Securities Exchange Act, or equivalent public sector expertise.
- Relevant experience in or adjacent to the mortgage finance industry will be a plus.
- Excellent negotiation, writing and document drafting skills and organizational skills.
- Exercise good, risk-adjusted judgment after thoroughly considering all relevant facts and balancing commercial and legal objectives.
- Demonstrate a significant degree of independent initiative, including the ability to review a situation, identify issues, risks or opportunities and pursue an expeditious balanced resolution.
- Interact well with colleagues and clients, and be able to communicate crisply with a variety of audiences.
Target Salary Range: $226,000 - $306,000 a year

The hiring range for this role is set forth below. Final salaries will generally vary within that range based on factors that include but are not limited to, skill set, depth of experience, certifications, and other relevant qualifications. This position is eligible to participate in a Fannie Mae incentive program (subject to the terms of the program).
