Director, BD Transactions - Japan
The Director, Business Development Transactions supports the execution of CSL's partnering, licensing, acquisition and collaboration deals by managing core diligence, analysis and transaction workstreams. This role translates evaluation outputs and strategic direction from senior deal leaders into structured negotiation positions, transaction documentation and coordinated cross-functional execution. It plays a critical hands-on role in progressing deals with accuracy, speed, and high operational rigour.

Deal Execution Support
- Support the Senior Director/Director in executing CSL's partnering, licensing, research collaboration and acquisition transactions from 2nd stage diligence through to signing
- Manage day-to-day transaction workflows, including drafting term sheets, preparing negotiation materials, coordinating functional input and tracking key risks and assumptions
- Translate evaluation insights into preliminary deal structures, negotiation points and commercial/financial considerations
Deal Structuring & Analysis
- Develop and refine deal structures based on CSL's strategic priorities, valuation guidance and risk tolerance
- Prepare financial inputs, benchmarking analyses, comparables and partner-specific scenarios to support negotiation strategy
- Coordinate with BD TA, Finance and Strategy to ensure alignment between opportunity assumptions and transaction terms
Diligence Coordination
- Coordinate cross-functional diligence activities across scientific, clinical, regulatory, technical, supply, legal and commercial domains
- In close collaboration with R&D GPM, ensure diligence trackers, data requests and assessments are complete, accurate and delivered within agreed timelines
- Consolidate diligence findings into clear summaries that inform deal shaping and decision-making
Cross-Functional Orchestration & Communication
- Serve as the primary liaison for operational coordination across R&D, Legal/IP, Finance, Regulatory, Clinical Development, Supply Chain and other functions involved in deals
- Maintain clear communication channels, action registers and project documentation to keep workstreams moving efficiently
- Prepare cross-functional working materials, internal briefings and updates for senior stakeholders
Governance & Documentation Support
- Draft high-quality decision materials for PRIMS, senior leadership and internal governance reviews (e.g., deal summaries, risk logs, term sheet updates)
- Ensure all documentation reflects high analytical rigour and adheres to CSL's deal framework and governance standards
- Support the Senior Director/Director in preparing negotiation briefs, presentation packs and external partner materials
Negotiation Management
- Support negotiation strategy by drafting, term sheets, analysing partner positions and preparing counterproposals
- Participate in negotiation meetings as required, representing CSL in a professional capacity while ensuring alignment with defined strategy and guardrails
- Track open issues, concessions, trade-offs and commitments through the negotiation cycle
Transaction Close-Out & Handover
- Facilitate handover to Enterprise Alliance Management and operational owners by documenting obligations, deliverables, risks and communication plans
- Support early-life issue resolution by tracking commitments and coordinating with internal stakeholders to ensure smooth operational transition
Process Improvement & Capability Building
- Contribute to developing BD Transactions tools, templates, trackers and best-practice guides
- Maintain the term sheet precedent library and update deal benchmarks, negotiation frameworks and internal knowledge repositories
- Support onboarding and mentoring of junior analysts as needed
