A role you will love
The Managing Director is to be a trusted advisor to our issuer clients. They will deliver advisory services for a variety of corporate events, including proxy contests, M&A, corporate actions, shareholder engagement, shareholder meetings and special situations. This is a client-facing role and, as such, ideal candidates must be able to effectively engage with other corporate advisors, senior level executives (Board, CEO, CFO, GC, IR), institutional investors and others within the corporate governance industry.
- Primary point of contact for client engagements.
- Close prospective clients and enhance revenue opportunities with existing clients.
- Deliver high levels of client satisfaction which requires anticipating client needs and through direct communication. Client satisfaction also means working well with other advisors retained by clients, including lawyers, investment bankers and compensation consulting firms.
- Seek to increase the firm's overall revenue and profitability through the pursuit of new business, including, but not limited to, calling on companies, attorneys, and investment bankers to secure new corporate clients including proxy fight and M&A-related solicitation opportunities.
- Expected to have an expert level of knowledge regarding the proxy and corporate actions industries and related technical mechanics.
- Comfortable and confident in speaking with clients, prospects, and industry participants (exude confidence in communications)

What will you bring to the role?
To perform this job successfully, an individual must have:
- A Bachelor's degree, and preferably an MBA or JD.
- At least 10 years of experience in proxy solicitation, corporate actions, corporate governance, stewardship or in a related legal or investor relations position.
- Established relationships with corporate advisors.
- Current knowledge of SEC regulations and state laws regarding shareholder meetings.
- Familiarity with corporate governance issues and possess an understanding of proxy advisory firms and institutional investors.
- Ability to handle numerous client engagements simultaneously and will need to be organized, articulate and able to maintain poise during challenging, high stress events such as mergers and proxy contests.
- Ability to manage client deliverables, recommend actions to improve the results of shareholder meetings and will be a trusted advisor of his or her clients.
- The role holder will be responsible for developing their book of business where outperformance will be rewarded.
- Strong analytical and communications skills - both in writing and orally with senior executives of our clients, outside law firms, investment bankers and institutional investors providing data-driven analytical advice.
- Strong leadership and project management skills.
- Comfort working in a team environment and leading small teams that service individual clients.
- Experience with CRM like Salesforce and using outbound sales enablement tools to generate leads and increase pipeline conversion.
This role requires moderate travel and requires work outside of standard business hours.

Compensation. The typical base pay range for this role is $150,000 - $200,000/yearly. This base pay range is specific to New York State and may not be applicable to other locations.
