The Assistant Company Secretary should have relevant experience in a professional services/management consulting environment with a motivation and appreciation of the varying demands of servicing a client portfolio across various industries or sectors in providing an outsourced governance advisory service.
A role you will love
As a trusted support to the Senior Company Secretary and the Entity Solutions team, you'll help deliver high-impact company secretarial services on an outsourced basis. In this role, you'll empower boards of directors by guiding them through the complexities of the Companies Act, 2008 ensuring they understand, apply, and comply with all relevant regulatory requirements. If you thrive in a detail-oriented, client-facing environment and enjoy making governance seamless and strategic, this is the role for you.
Some of your key responsibilities will include:
- Manage all statutory changes and filings with CIPC, including director appointments, share transactions, MOI updates, annual financial statements, and XBRL uploads.
- Coordinate AGMs and paper meetings, prepare resolutions, minutes, and action items, and ensure accurate record-keeping and audit readiness.
- Monitor SLA adherence, manage client onboarding, ensure timely invoicing and billing, and maintain accurate timesheets and workflow tracking.
- Update statutory systems (e.g., ProfSoft), ensure electronic record storage, and oversee quality assurance of invoices and client communications.
- Provide expert guidance on governance policies, Companies Act compliance, trustee administration, and regulatory filings (CIPC, Master of the High Court).
- Draft and review governance documents including resolutions, charters, policies, integrated reports, and work plans.
- Coordinate and support board, trustee, and committee meetings by setting agendas, reviewing materials, attending sessions, and drafting accurate minutes to ensure effective governance processes.
- Manage the lifecycle of board documentation, including resolutions and signed minutes, while conducting board evaluations, director inductions, and governance-related training on key topics such as insider trading and conflicts of interest

Skills and qualifications
- Bachelor's degree in Law, Business, or a related field
- CGISA diploma (completed or in progress)
- Solid experience in a professional services or management consulting environment
