Job Summary:

The WEX Legal team is seeking an experienced, self-driven and dynamic M&A transaction lawyer to support WEX's global M&A function. As an Associate General Counsel , you will have director-level responsibilities working closely with other WEX legal professionals and members of the company's Corporate Development team. This role will report to WEX's Vice President, Legal. The position is based in WEX's corporate office in South Portland, Maine.

Performance Objectives:

The successful candidate will:

  • Provide superior legal oversight over the company's M&A process globally, including acquisitions, divestitures and joint ventures.

  • Structure and negotiate complex transactions and coordinate multi-functional teams globally.

  • Oversee all Legal aspects of M&A transactions, ensuring transactions are appropriately reviewed and cross-functional leaders and senior management are provided necessary and timely access to information.

  • Work in close coordination with WEX's Corporate Development, Finance, Tax, Treasury, Technology and HR teams, as well as the company's local business units in region.

  • Provide recommendations to the executive leadership team with the ability to interact directly with senior business leaders with limited supervision.

  • Instruct and manage outside counsel and other advisors in U.S. and international jurisdictions for M&A transactions within budget, including scoping, engagements, fee arrangements, reviewing and approving bills and tracking and reporting expense to budget.

  • Provide input and direction to the integration team.

  • Execute sound legal advice that addresses business concerns, find creative solutions to issues to reach resolution, taking a pragmatic approach to balancing legal risks against business interests.

  • Utilize a high-level of intellectual, professional and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills.



  • J.D. or foreign equivalent and bar membership in at least one U.S. state.

  • 8 years post-admission experience in a well-regarded firm and/or corporation.

  • M&A, antitrust, commercial, transactional and corporate governance experience.

  • Extensive background working with and advising boards of directors and senior management on board affairs relating to M&A.

  • Ability to act as transactional coordinator with organization's business development and other functional teams.

  • Ability to engage and manage outside counsel.

  • Must successfully pass a background investigation.
Preferred Qualifications:

  • Strong preference on in-house experience in addition to firm experience.

  • Strong preference on experience in conducting international transactions.
