Sales contracts Administrator

Sales Contracts Administrator is a key team member that assists in the preparation, negotiation, administration and management of prospective customer and existing customer contracts, and will assist the Legal Department with various tasks and assignments. Position supports the sales team and Legal Department and requires an organized and articulate individual who has a strong attention to detail and is able to set and meet deadlines and is flexible with regard to work hours.

The ideal candidate should have a law degree with five (5) to ten (10) years of legal experience drafting, preparing, and negotiating contracts (preferably software and technology agreements) and will need to be innovative in solving business problems and challenges, coordinate business and legal issues and questions and follow-up on responses with other departments within the organization, be energetic, focused and results oriented with a high level of integrity, honesty, and strong interpersonal communication skills and analytical and problem solving abilities are imperative.

Primary Responsibilities: (other duties may be assigned at discretion of manager)

  • Preparation of agreements and additional business documents including, but not limited to, Master Services Agreements/Subscription Agreements, Addendums, Supplements, and additional written instruments as needed for prospective and existing customers
  • Participation in contract negotiation calls with the sales teams and prospective customers to document mutually acceptable contract terms and conditions and incorporate the same into final drafting of contract documents
  • Serve as a liaison for sales and other departments, using judgment to identify situations which require attention or approval of management
  • Administration of agreements to ensure that the documents adhere to good business and financial practices within the Ultimate Software organization
  • Assist in creating and updating contract template documents
  • Assist with special projects and departmental initiatives as assigned
  • Work with the Legal Department on contract negotiations and other various tasks and projects
  • Various ad hoc reporting as needed
  • Other sales administrative and legal tasks as needed


  • Five (5) years to ten (10) years of legal experience dealing with contract preparation, procurement, negotiation, and high level of general business/corporate acumen (preferably within the software industry and/or related field)
  • Ability to communicate in person and by telephone in a confident, articulate manner
  • Extremely detailed/accuracy oriented
  • Superior understanding of contracts (preferably with knowledge of software licensing and related services agreements)
  • Proven experience with sophisticated levels of Microsoft office applications including Word and Excel
  • Ability to make confident, supportable decisions in time sensitive situations
  • Ability to identify and resolve issues in a timely manner
  • Ability to multitask effectively
  • Communicate and work well in a team environment and with existing clients including excellent verbal and written communications
  • Proven follow-up skill-sets
  • Able to adapt to changing and fast paced conditions
  • Willing to work weekends and/or flexible hours as business may dictate and as may be required
  • Ability to be proactive with defined sales operation objectives
  • Able to handle demands and meet deadlines in a timely manner
  • Willingness and ability to take on challenges and new objectives
  • Ability to escalate issues to upper management when necessary or appropriate


Bachelor degree required/Graduate degree/Law degree preferable
