Tax Insurance Broker

We’re looking for a Tax Insurance Broker to provide the following:

  1. Analyze new tax risk opportunities and prepare insurance market submissions regarding tax, Representations & Warranties Insurance (RWI) or other M&A insurance products as appropriate
  2. Tax risks include tax issues relevant to the overall deal structure (including tax free spin-offs and 338(h)(10) elections); identified tax issues within the transaction (such as incidental S-corp re-characterization risk, partnership tax treatment, and availability of NOL’s to purchaser); and availability, quantum or utilization of tax credits, including solar investment and wind production tax credits
  3. Prepare insurance submissions with a deep understanding of the underlying tax issues
  4. Review and analyze term sheets to draft and present reports comparing terms from the insurance markets and advise on the best insurance options given transaction structure, size, industry sector, and other relevant deal dynamics
  5. Structure and negotiate tax insurance policies in order to produce the most optimal contract result
  6. Conduct meetings to help originate tax, RWI and M&A insurance business

Education, Skills and Experience
  • JD (or advanced tax degree) and Bachelors degrees from accredited universities; an LLM in taxation is a plus
  • Proficiency in Microsoft Office to include Word, Excel and PowerPoint applications
  • Strong project management, negotiating, interpersonal, and oral and written communication skills are critical
  • 4+ years legal tax practice experience; other tax, investment banking or corporate finance experience a plus
