Paralegal for Americas Legal Department, Global Market /Sales & Trading

We are actively seeking a Corporate Paralegal for a promising position within the Americas Legal department, Global Markets Coverage Group. The Corporate Paralegal will report to lawyers within the Global Markets Coverage Group that support the Equity Sales & Trading (buy-back) and Secondary Loan Trading businesses. The lawyers that support these businesses review deal documentation for transactions executed by and provide legal advisory services to those groups.

The ideal candidate will demonstrate a results-oriented/performance-driven work style to complete assigned tasks with a high degree of accuracy, as well as the ability to problem/issue solve, think independently and present a professional image. Excellent written and oral communication skills are required, along with a highly organized and methodical approach to job responsibilities.

The successful candidate will be responsible for:

  • Actively supporting lawyers covering the Equities Sales & Trading business in connection with their buy-back activity and the Secondary Loan trading business in connection with their secondary loan trading activity.
  • Reviewing and negotiating standard transaction documentation such as client stock buy-back documentation, loan trading confirmations, credit agreements, non-disclosure agreements
  • Maintaining and updating MUFG template documentation
  • Organizing and maintaining legal and transaction records where required
  • Creating and maintaining a credit agreement summary library
  • Administrative work in connection with transaction management, including working directly with the front office and other support functions as necessary to facilitate transaction execution and internal recordkeeping requirements
  • Interacting directly with external deal counsel as necessary

The successful candidate will have the following skills:

  • Bachelor's degree
  • 5+ years of experience in paralegal role handling a variety of time-sensitive tasks and communicating with senior-level Management and front office business groups in professional manner
  • Paralegal certification
  • Previous experience as a paralegal (either in a law firm or at an investment bank) in supporting Global markets / Sales & Trading execution, including a familiarity with standard deal documentation, the ability to negotiate and revise documentation based on templates and precedent documents, the ability to work directly with front office business groups and external counsel and the ability to thrive in a fast-paced environment with an understanding of the requirements of primary markets transaction execution timelines
  • Exceptional communication skills (written and verbal) with advanced knowledge of word usage, grammar, sentence structure and paragraphing
  • Exceptionally well-organized with the strongest attention to detail
  • Technologically competent and highly proficient in Microsoft Office/Suite required (Word, Excel, SharePoint and PowerPoint) including the ability to prepare legal documents, red-line and produce final customized and formatted deliverables
  • Independence and initiative to drive and deliver activities autonomously when needed
  • Strong project coordination experience with the ability to multi-task and prioritize
  • Highly refined interpersonal and collaborative skills with strong professional poise
