Your Mission:

Medidata, a company at the intersection of life sciences and cutting-edge SaaS technology, seeks an attorney to join its Legal team in the role of Corporate Counsel.  The successful candidate will support Medidata’s Sales team and provide legal guidance to Medidata’s emerging business units.  This includes working autonomously to draft and negotiate commercial agreements with Medidata’s life sciences customers.  The role requires a practical and highly collaborative lawyer; the Corporate Counsel will work as a trusted advisor to several Medidata business units, including Sales, Finance, Product and Compliance.  The Corporate Counsel position is located at Medidata’s corporate headquarters in Tribeca, and will report to the Vice President & Associate General Counsel.

  • Draft, review and negotiate a variety of agreements, in accordance with Medidata’s policies and risk tolerance.  Agreements include SaaS agreements, partnership agreements, alliance agreements, licenses, service level agreements and partner/re-seller agreements
  • Respond promptly and effectively to requests for legal advice from Sales, Operations, Marketing, Finance and other internal clients, and counsel internal clients on legal risk, risk mitigation, and appropriate courses of action
  • Continuously improve standard form agreements, policies and legal processes
  • Provide training on Medidata’s commercial/legal policies and best practices
  • Address a broad array of general corporate, commercial and compliance issues

Your Competencies

  • High level of professionalism, excellent communication skills and outstanding business judgement
  • Prior experience working with or in the technology, pharmaceutical, life sciences or health care industries
  • Prior experience supporting sales teams
  • Strong work ethic and ability to independently manage multiple projects under tight deadlines
  • Familiarity with EU (GDPR) and US (HIPAA, CCPA) privacy laws applicable to life sciences and pharmaceutical industries is a plus
  • Ability to travel (up to 20%)

Your Education and Experience

  • Juris Doctor degree from an accredited law school
  • Admission to NY State Bar
  • Requires a minimum of three (3) years legal experience, ideally within a law firm and in house
