Duties: Associate-Intermediate-Finance/VP with Goldman, Sachs & Co. in New York, NY. Develop complex presentations and financial models using Microsoft Office, Excel, and PowerPoint. Work on teams providing financial advice to Technology, Media and Telecom (TMT) companies on M&A transactions, capital rising, and other complex financial transactions. Lead teams in structuring and executing M&A, equity and debt financing transactions. Build and review financial models including operating models, M&A and LBO valuations and models. Present to senior executives (CEO, CFO, etc.) of Technology, Media and Telecom clients on M&A, corporate strategy and financing alternatives. Develop new and strengthen existing client relationships. Supervise and coordinate the work of analysts and associates on the team while coordinating with senior bankers and various product experts throughout the Firm.

Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)

Job Requirements: Master’s degree or Bachelor’s degree (U.S. or foreign equivalent) in Business, Finance, Accounting, and Economics plus three (3) years with Master’s OR six (6) years experience with Bachelor’s in the job offered or in a related investment banking role focused on the Technology, Media and Telecom (TMT) sector. Prior work experience must include: working on transactions with a minimum value of $300mn and including those in excess of $1.0bn; structuring, analyzing and executing transactions on behalf of companies in the TMT sector; executing complex financial modeling and analysis including cash-flow based (LBO) models, three statement models, covenant cushion models, discounted cash flow analysis, regulatory risk assessment calculations, precedent transactions, sum-of-the-parts, liquidity analysis, funds flow, and comparable company analysis; presenting to CEO/CFO level corporate clients on topics such as strategic alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls; executing the following types of debt instruments: revolving credit facility, asset backed lending facility, first lien term loan, second lien term loan, secured notes and unsecured notes; utilizing knowledge of industry dynamics, analytical methodologies, relevant metrics and comparable companies across technology, media and telecom; negotiating business terms in fee letters, commitment papers, credit agreements, indentures, and engagement letters, and interpreting all of the terms in those documents as well as sale and purchase and non-disclosure agreements; managing a team in an investment banking setting; performing extensive financial and business due diligence, including interviewing senior management, inspecting product sites, reviewing strategic operating plans and analyzing historical and projected financial performance; drafting and reviewing securities offering documents, sale and purchase agreements and other legal contracts for financial transactions; executing broadly syndicated debt financing transactions between $150 – $500 million for both middle market corporates and sponsors; middle market and large cap client coverage and debt origination experience; creating middle markets and large cap client presentations, committee memoranda, lender presentations, rating agency presentations and securities offering memoranda; executing detailed analysis of the pro forma impact of debt, equity and other capital issuances, spin-offs, divestitures, and changes in capital allocation policies including dividend and share repurchases. Series 79. Travel to domestic and international locations required to visit clients and execute transactions.
