Duties: Associate-Finance with Goldman, Sachs & Co in New York, NY. Structures, analyzes and executes transactions on behalf of companies in the consumer, retail and healthcare sectors. Reviews proprietary financial models, such as M&A, DCF, and LBO valuations. Helps senior team evaluate models to develop key judgments. Analyzes accounting and regulatory statements, debt and equity filings and documents, financial projections and models as prepared in various formats by clients. Supervises, guides and coordinates junior professionals’ work product, including reviewing financial modeling work and presentations prepared for transactions, corporate board meetings, investment banking pitches and client service projects on corporate finance topics; supervises and reviews memoranda required to gain internal approvals from typical investment banking committees. Presents to CEO/CFO level corporate clients on topics such as strategic alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls. Interacts with senior management on a daily basis to execute projects, provide updates and advice and prepare presentation materials. Manages live deal execution, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshows and liaising other investment banks and other parties within the Investment Banking division. Drafts financing and offering documents. Assists companies in preparation of materials to present to potential buyers of the company or their securities. Reviews and comments on complex legal documents including offering documents and stock purchase agreements.

Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)

Job Requirements: Bachelor’s degree (U.S. or foreign equivalent) in Business, Finance or a related field. Will accept a single or combination of degrees, diplomas, certifications deemed equivalent by a qualified evaluation service. Two (2) years of experience in the job offered or in a related investment banking position. Prior work experience must include: Executing debt or equity financing transactions in excess of $100 million; Executing public mergers and acquisitions transactions in excess of $500 million; Understanding specific roles, timing, deliverables, and scope of work required for working for clients in capital markets, mergers and acquisitions and leveraged buyout transactions; Developing complex presentations and financial models using Microsoft Office, Excel and PowerPoint; Building highly technical and complex financial models that incorporate corporate finance concepts and GAAP and non-GAAP (or foreign equivalent) principles for the Consumer, Retail and Healthcare industries, such as M&A, DCF, and LBO valuations, to evaluate a company’s performance under various operating scenarios and to analyze the impact of different capital structures and potential mergers and acquisitions on behalf of the company; Working on teams providing financial advice to consumer, retail and healthcare companies on M&A transactions, capital raising, and other complex financial transactions; Presenting to senior executives such as the CEO and CFO of clients on M&A, corporate strategy and financing alternatives; Supervising and coordinating the work of analysts and junior bankers while coordinating with senior bankers and various product experts. FINRA Series 79 license required. Travel required.
