Director, Contract Administration

Summary of Major Responsibilities

The main duties the Director of Contract Administration will be to prepare, negotiate, review and administer company contracts, including managed care and other contracts with health systems and health insurance companies, purchase and supply contracts, license agreements, confidentiality agreements, consulting agreements and a wide variety of other contracts.

The Director of Contract Administration will act as the subject matter expert and focal point for internal and external contract matters.  He/she will be the primary point of contact for the review and preparation of routine contract documents in accordance with company policy.  The role requires an ability to independently identify and analyze issues and to exercise sound business and legal judgment in the resolution of those issues.  The Director of Contract Administration will provide authoritative guidance to internal business teams and/or third parties on company goals and objectives relating to contract activity. He/she will be accountable for ensuring contracts are established, reviewed, approved, and executed to ensure the highest regard for protecting the legal interests of the company; to ensure regulatory compliance; and to ensure contracts are based on sound business practices.

The Director of Contract Administration must be a self-starter and will be counted on to take initiative with regard to the development and management of our rapidly growing contract function.  He/she must have a strong attention to detail along with an ability to identify and mitigate potential risks for the company.  The ideal candidate will have previous experience negotiating, preparing and managing complex healthcare-related contracts, particularly in the lab services and/or diagnostic product space.

Essential Duties and Responsibilities

  • Prepare and review new contracts
  • Negotiate contract terms and conditions
  • Analyze potential risks involved with specific contract terms
  • Review and update existing contracts
  • Coordinate contract execution and closing
  • Explain terms and conditions to managers and interested parties as part of an organized and thorough routing, review and approval process; prepare contract cover sheets and summaries
  • Gather and maintain authorizations for each contract
  • Coordinate with inside and outside counsel on legal issues as appropriate to ensure that contracts comply with applicable laws; ensure that contracts comply with company policies
  • Stay up-to date with changes in applicable laws and company policies
  • Ensure that employees understand and comply with company contracts
  • Ensure all deadlines and conditions described in contracts are met (e.g. payments, notices, etc.)
  • Prepare contract change notices, monitor contractor performance, including the reporting and status of contractor and owner deliverables
  • Track payments and deadlines
  • Utilize contract management system to enter, update and maintain contract portfolio
  • Ensure that contract and related documentation practices conform to the company’s document retention policy
  • Manage the contract administration function
  • Periodically audit contract files for compliance
  • Develop, recommend and implement process improvement initiatives related to the contract administration function
  • Develop and maintain standard contract forms
  • Develop new contract policies or processes as needed

Qualifications

  • Proven and relevant work experience (at least 5 years) as a contract administrator, contract manager or similar role
  • Experience drafting and reviewing
  • Documented success regarding the negotiating a wide range of contracts, from straightforward to complex
  • Healthcare experience, particularly experience with lab services and/or diagnostic products or medical devices
  • Knowledge of legal requirements involved with contracts of the type relevant to the company – particularly healthcare regulatory requirements such as fraud and abuse and anti-kickback
  • Familiarity with accounting principles and procedures
  • Strong interpersonal skills; proven ability to manage and work as part of a collaborative team
  • Ability to balance business objectives and opportunities against legal and other risks and requirements
  • “Can-do” attitude and customer-service orientation
  • Excellent written and verbal communication skills
  • Keen attention to detail, with an ability to spot errors
  • Strong analytical and organizational skills
  • Ability to multi-task; strong time-management skills and a proven ability to work efficiently
  • Flexibility; ability to adapt to changing priorities and objectives
  • Ability to thrive in a high-pressure environment; comfortable working with tight deadlines
  • Familiarity with Merrill Datasite or similar contract management system
  • BS or BA degree; BS in Business Administration preferred; legal or paralegal experience is a plus
